Role Overview:
We are seeking a highly motivated professional to join our Merchant Banking / Investment Banking team. The candidate will be actively involved in financial modelling, IPO evaluation, and compliance reviews in line with SEBI ICDR regulations and ICAI guidelines.
Key Responsibilities:
- Build and maintain detailed financial models for valuation, scenario analysis, and transaction structuring.
- Analyze and evaluate the financial statements of prospective IPO clients, including historical performance, projections, and peer benchmarking.
- Conduct due diligence and prepare detailed financial analysis for fundraising, IPO, rights issue, and other capital market transactions.
- Ensure compliance with SEBI ICDR regulations, ICAI guidelines, and other statutory requirements while reviewing financials of clients.
- Assist in preparing Draft Red Herring Prospectus (DRHP), offer documents, investor presentations, and other transaction-related materials.
- Work closely with senior management, legal advisors, auditors, and regulatory authorities during transaction execution.
- Conduct industry and market research to support transaction origination and client advisory.
Key Skills & Competencies:
- Strong proficiency in financial modelling, valuation techniques (DCF, comparables, precedent transactions).
- Excellent analytical and quantitative skills with attention to detail.
- Familiarity with SEBI ICDR, ICAI guidelines, and merchant banking compliance requirements.
- Strong knowledge of accounting standards, financial ratios, and capital market instruments.
- Proficient in MS Excel, PowerPoint, and financial databases.
- Excellent written and verbal communication skills.
- Ability to work in a fast-paced environment with tight deadlines.
Qualifications:
- CS
- Exposure to IPO processes, capital market regulations, and financial due diligence will be an added advantage.
