Job Description Responsible for all day to day matters relating to Regulatory Compliance including but not limited to SEBI (MF) Regulations, RBI reporting, Companies Act, 2013, AML, Insider Trading, FATCA, AML, etc.
Responsible for all legal documentation, negotiations, litigations, secretarial activities etc. Reporting to: Chief Compliance Officer & Company Secretary Role & Responsibilities Key Accountabilities -
Support all compliance initiatives, and handle routine compliance activities with minimal supervision.
Involvement in implementation of Compliance Policies / procedures.
Administer compliance framework across organization.
Preparing draft Agenda/Minutes of various Committees and collating agenda papers.
Preparing and Filing of various forms with ROC including Annual filings.
Maintaining statutory registers and other books.
Obtaining DIN & DSC (Digital Signature Certificate) for Directors.
Appointment, regularization and resignation of Directors.
Responsible for work relating to all board, committees and shareholder meetings of AMC & Trustee Company including attending all these meetings.
Documentation for board, committee and shareholder meetings of AMC & TC.
Ensuring all company secretarial activities including share issuance, forms filing with ROC, managerial appointments, shareholders matters, etc.
Responsible for all legal activities including managing/ advising/negotiating on all legal matters. Prepare standard legal documents, all policies including Group standards, update them from time to time, and keep their version controls and ensuring compliance with the same. Handle / manage / advise on routine legal activities.
Prepare / vet legal documents, update them from time to time, and keep their version controls. Liaise with advocates / legal counsels on legal issues, as may be assigned.
Drafting resolution and Minutes of Board Meetings, Statutory Meeting, AGM and EOGM as per Secretarial Standards and preparation of various Board Reports.
Work relating to Employee & Directors Securities Dealing policy.
Work relating to AML and KYC. Prepare regular SEBI, AML and company law reportings / filings. Preparation of / finalize Offer documents; filing with SEBI for approval.
Preparing all required documents as per Secretarial Standards 1 & 2.
Work relating to Issue of Shares including RBI filings.
Involvement in Anti-money laundering implementation; suspicious transactions monitoring and reporting;
Coordinate with various functions to seek / provide information / data.
Involvement in supporting internal audit (internal audit is outsourced activity).
Qualification & Skillsets
CS completed
LLB (Pursuing/completed)
Industry : Financial service / Mutual fund preferred Job Locations : Mumbai Traits Required:
Should have excellent English communication skills both verbal and written.
Must exhibit good relationship skills and team performer qualities.
Who can apply :
Well qualified with minimum 3 - 6 years of experience with a mutual fund in a key compliance/legal/secretarial role.
Good understanding of capital markets or distribution business including regulatory and legal affairs of the Indian mutual funds industry.
Should have good understanding of equity / fixed income portfolio management and dealing protocols and life cycle.
Should be hands over on compliance/legal language cum documentation.
