Job Title: Company Secretary & Legal Officer (CS + LLB)

Department: Secretarial & Legal

Location: Chembur, Mumbai

Experience: 3–6 Years

Qualification: Qualified Company Secretary (ICSI) with LLB

Job Summary

We are seeking a qualified and experienced Company Secretary & Legal Officer to manage the company's secretarial, legal, and compliance functions. The ideal candidate will be responsible for ensuring compliance with corporate laws and regulations, handling legal documentation, advising management on governance matters, and mitigating legal risks.

Key ResponsibilitiesSecretarial & Compliance

Ensure compliance with the Companies Act, 2013, Secretarial Standards, and other applicable laws.
Organize and manage Board Meetings, Committee Meetings, and Annual General Meetings (AGMs).
Draft and maintain notices, agendas, minutes, and Board resolutions.
Handle ROC filings, annual returns, and statutory registrations through the MCA portal.
Maintain statutory registers and records of the company.
Liaise with regulatory authorities, auditors, and consultants.
Advise the Board and management on corporate governance matters and compliance requirements.

Legal Responsibilities

Draft, review, and vet contracts, agreements, MOUs, NDAs, lease agreements, vendor agreements, and other legal documents.
Provide legal opinions and guidance on business operations and regulatory matters.
Coordinate with external legal counsel on litigation and dispute matters.
Monitor and manage legal notices, claims, and responses.
Ensure compliance with labour laws, commercial laws, and other applicable regulations.
Identify and mitigate legal and compliance risks.
Support due diligence exercises, mergers, acquisitions, and corporate restructuring activities.

Required Skills

Strong knowledge of the Companies Act, 2013, corporate governance, and ROC compliances.
Sound understanding of contract law, labour laws, and commercial legal matters.
Experience in legal drafting and document review.
Familiarity with MCA filings and statutory procedures.
Excellent analytical, negotiation, and communication skills.
Strong attention to detail and ability to manage multiple responsibilities.

Qualifications

Qualified Company Secretary (Member of ICSI) – Mandatory.
LLB from a recognized university – Mandatory.
3–6 years of experience in Secretarial and Legal functions.

Preferred Experience

Experience in listed companies, NBFCs, or corporate legal environments.
Exposure to SEBI regulations, FEMA compliances, and due diligence assignments.
Experience in handling litigation coordination and legal risk management.

Pay: ₹60,000.00 - ₹70,000.00 per month
