- Ensure compliance with the Companies Act, 2013, applicable rules, Secretarial Standards, and other relevant regulations.
- Organize and conduct Board Meetings, Committee Meetings and General Meetings.
- Prepare notices, agendas, resolutions, minutes, and Board/Committee documentation.
- Maintain statutory registers, records, minutes books, and other corporate documents.
- Prepare and file statutory forms, returns, and documents with the ROC/MCA.
- Monitor changes in corporate laws and regulations and advise management on their impact.
- Coordinate with auditors, legal advisors, regulators, consultants, and government authorities.
- Support corporate governance initiatives and ensure compliance with Board decisions.
- Handle matters relating to shareholders, share transfers, allotments, and other corporate actions.
- Assist with FEMA, SEBI, RBI, listing and securities-law compliances, where applicable.
- Coordinate secretarial audits and ensure timely closure of compliance observations.
- Maintain a compliance calendar and ensure timely completion of all statutory obligations.
- Provide legal and regulatory guidance to the Board and senior management.
- Qualified Company Secretary (ACS) from the Institute of Company Secretaries of India (ICSI).
- Bachelor's degree in any relevant discipline.
- LLB/LLM, MBA, or relevant additional qualification would be an advantage.
- Strong knowledge of the Companies Act, corporate governance and applicable regulatory requirements.
