Position Summary
The Chief Financial Officer (CFO) will be responsible for providing strategic financial leadership and overseeing all aspects of Finance, Accounts, Taxation, Treasury, Commercial Finance, Compliance, Risk Management, and Investor Relations. The CFO will partner closely with the Managing Director and Board of Directors to formulate financial strategies, optimize capital structure, strengthen internal controls, improve profitability, and support business expansion.
The role demands a seasoned finance leader with strong expertise in manufacturing, corporate finance, treasury, fundraising, banking relationships, regulatory compliance, and IPO preparedness.
Key Responsibilities1. Financial Leadership & Strategy
- Provide strategic financial leadership to support the company's growth and long-term business objectives.
- Lead Finance, Accounts, Taxation, Treasury, Commercial Finance, and related functions through internal and external teams.
- Develop and execute financial strategies aligned with organizational goals.
- Advise the Managing Director and Board on financial planning, investments, capital allocation, and business performance.
- Prepare long-term financial plans, business forecasts, and growth strategies.
2. Financial Planning & Business Control
- Lead budgeting, forecasting, costing, profitability analysis, and financial planning processes.
- Drive effective working capital management and cash flow optimization.
- Review and monitor annual operating plans and financial budgets.
- Develop robust MIS, dashboards, financial KPIs, and variance analysis for management reporting.
- Strengthen financial planning and business performance monitoring systems.
- Ensure timely preparation and finalization of financial statements.
3. Accounting, Taxation & Regulatory Compliance
- Ensure compliance with the Companies Act, Income Tax, GST, FEMA, SEBI (where applicable), and all other statutory and regulatory requirements.
- Oversee accounting policies and financial reporting in accordance with applicable Accounting Standards/Ind AS.
- Lead statutory audits, internal audits, tax audits, secretarial audits, and regulatory inspections.
- Coordinate with auditors, consultants, legal advisors, and government authorities.
- Strengthen corporate governance practices and financial compliance frameworks.
4. Treasury, Banking & Working Capital Management
- Manage treasury operations, liquidity planning, cash flow forecasting, and fund utilization.
- Optimize working capital and cash management processes.
- Build and maintain strong relationships with banks, financial institutions, and lenders.
- Negotiate banking facilities, credit limits, interest rates, covenants, and financing structures.
- Lead debt financing, structured finance, and resource mobilization initiatives.
- Drive improvements in the company's credit profile and external credit ratings.
5. Fund Raising & Strategic Finance
- Lead equity and debt fundraising initiatives.
- Evaluate optimal capital structures to support business growth.
- Manage investor due diligence and financial evaluations.
- Support mergers, acquisitions, joint ventures, and strategic investment opportunities.
- Coordinate with investment bankers, financial advisors, and institutional investors.
6. IPO Readiness & Corporate Governance
- Lead IPO planning, readiness assessment, and execution.
- Coordinate with merchant bankers, legal advisors, registrars, auditors, and regulatory authorities.
- Oversee preparation of DRHP/RHP, financial disclosures, and due diligence documentation.
- Establish financial systems, governance practices, and reporting frameworks required for a listed company.
- Ensure compliance with SEBI regulations, stock exchange requirements, and corporate governance standards.
- Manage post-listing compliance, shareholder communication, and investor reporting.
7. Risk Management & Internal Controls
- Establish and strengthen Enterprise Risk Management (ERM) frameworks.
- Identify financial, operational, regulatory, and strategic risks.
- Develop mitigation strategies and internal control mechanisms.
- Ensure effective fraud prevention and governance practices.
- Review and strengthen financial policies and internal control systems.
8. Commodity Risk & Hedging
- Oversee commodity procurement risk and MCX hedging activities.
- Develop strategies to mitigate commodity price volatility.
- Monitor hedging effectiveness and policy compliance.
- Ensure appropriate accounting and reporting of commodity-related transactions.
9. Stakeholder & Investor Relations
- Present financial performance and strategic recommendations to the Board.
- Maintain relationships with investors, banks, financial institutions, auditors, regulators, and other stakeholders.
- Support strategic decision-making through financial insights and analysis.
- Lead financial communications with internal and external stakeholders.
Desired Candidate ProfileEducation
- Chartered Accountant (CA) is mandatory.
- MBA (Finance) or CFA will be an added advantage.
Experience
- 18–25 years of progressive finance leadership experience.
- Minimum 8–10 years in a senior leadership role such as CFO, Finance Director, or Head of Finance.
- Experience in manufacturing, engineering, metals, infrastructure, or industrial sectors preferred.
- Proven experience in treasury, banking, fundraising, taxation, compliance, and financial strategy.
- Experience in IPO planning and listed company compliance will be a strong advantage.
