Job Summary:
The Consultant Company Secretary will be responsible for ensuring the timely completion of all tasks assigned by the management and must attend meetings, either online or offline, as required or upon the management's request.
1. RBI & Regulatory Compliance (NBFC-specific)
- Ensure compliance with RBI Master Directions for NBFCs (SBR framework, Scale Based Regulation)
- Handle RBI approvals/intimations for change in management, control, or shareholding (as per RBI's prior approval/intimation norms)
- Fit & Proper criteria compliance for Directors; maintain declarations and DIN-KYC
- Coordinate NBFC registration, COR (Certificate of Registration) amendments, and
layer/category changes
- Drafting, reviewing, and implementing policies in compliance with RBI guidelines for NBFCs in the Base Layer category.
- Assisting in the drafting and review of policies related to AML/KYC, Fair Practices Code (FPC),
Asset-Liability Management (ALM), and Corporate Governance.
- Conducting in-depth research on RBI regulations, circulars, and compliance frameworks applicable to different categories of NBFCs (Base Layer, Middle Layer, etc.).
2. Change in Management/Control
- Draft and file applications for RBI prior approval (change in shareholding of 26%+, change in management beyond 30% of directors)
- Prepare board/shareholder resolutions, due diligence reports, and affidavits for incoming directors/shareholders
- Liaise with RBI regional office for approvals and follow-ups Update statutory registers, MCA filings (DIR-12, MGT-14, PAS-3, etc.)
3. Mergers, Amalgamations & Restructuring
- Draft schemes of arrangement/merger under Companies Act, 2013 (Sections 230-232)
- Coordinate with NCLT filings, valuation reports, and fairness opinions
- Handle RBI/SEBI approvals where applicable (for NBFC mergers)
- Manage stakeholder communication, creditor/shareholder meetings, and NCLT hearings
- Post-merger compliance: name changes, PAN/TAN updates, license transfers
4. General Corporate Secretarial Work
- Board and general meeting management (notices, agenda, minutes)
- Annual filings (AOC-4, MGT-7, MGT-7A)
- Maintenance of statutory registers and records
- Related party transaction compliance
- Drafting/vetting of resolutions, agreements, and policies
- Drafting of legal and secretarial documents such as Board Resolutions, Shareholder Agreements, MOUs, and Compliance Reports.
5. Advisory & Liaison
- Advise management on Companies Act, RBI, FEMA, and SEBI (if listed) compliance
- Liaise with ROC, RBI, NCLT, and other regulatory authorities
- Support due diligence for fundraising, investments, or NBFC licensing
Pay: ₹40,000.00 - ₹60,000.00 per month
