Job Description – Legal Counsel / Legal ManagerPosition Overview
We are looking for an experienced Legal Counsel / Legal Manager to provide end-to-end legal support to the organization. The role will be responsible for ensuring legal and regulatory compliance, minimizing legal risks, supporting business decisions, and managing a broad range of corporate, commercial, employment, real estate, data privacy, and intellectual property matters.
The ideal candidate should have strong experience in drafting, reviewing, negotiating, and managing commercial agreements, with the ability to work closely with cross-functional teams and external legal advisors.
Key Responsibilities1. Commercial & Corporate Agreements
- Draft, review, vet, negotiate, and manage a wide range of commercial and corporate agreements, including:
- Letters of Intent (LOIs) and commercial lease agreements
- Memorandum of Understanding (MoUs)
- Vendor and supplier agreements
- Service agreements
- Loan agreements
- Non-Disclosure Agreements (NDAs)
- Travel trade and platform partnership agreements with partners such as BookMyShow, District, etc.
- Identify contractual risks and recommend appropriate mitigation measures.
2. Corporate Structuring & Governance
- Draft and manage corporate legal documents, including:
- Shareholder Agreements (SHA)
- Share Subscription Agreements (SSA)
- Board resolutions
- Minutes of meetings
- Coordinate with the Company Secretary on statutory filings, corporate governance, and compliance requirements.
3. Labour & Employment Law
- Develop, review, and update HR policies and processes in compliance with applicable labour and employment laws.
- Draft and review employee contracts, agreements, and related documentation.
- Advise HR and management on employment-related legal matters and labour law compliance.
- Support the organization in handling employee-related disputes and legal concerns.
4. Real Estate & Land Due Diligence
- Conduct legal due diligence for properties identified for new centers.
- Review and verify property titles, ownership documents, and relevant regulatory approvals.
- Review lease structures and identify potential legal risks.
- Support the Business Development and Operations teams in resolving lease and property-related legal matters.
5. Industry-Specific Legal Compliance
- Ensure business operations comply with applicable state and national laws and regulations.
- Advise on local municipal and regulatory requirements applicable to Family Entertainment Centres (FECs) and multi-location operations.
- Monitor compliance requirements across all operating locations.
6. Legal Notices, Disputes & Representation
- Draft, issue, review, and respond to:
- Customer complaints and legal notices
- Vendor and commercial disputes
- Employee-related legal matters
- Third-party claims
- Regulatory notices and claims
- Coordinate with and manage external legal counsel whenever required.
- Represent the organization's interests in legal and regulatory matters, as applicable.
7. Risk, Data Privacy & Website Policies
- Draft and maintain:
- Data protection and privacy policies
- Cookie policies
- Website Terms of Use
- Refund and cancellation policies
- Membership terms and service waiver forms
- Customer-facing legal disclaimers
- Safety instructions and operational precaution notices
- Identify legal and operational risks and recommend appropriate controls and mitigation measures.
8. Cross-Functional Legal Support
- Work closely with Finance, HR, Business Development, Operations, Technology, Marketing, and other business teams to provide timely legal advice.
- Coordinate with external legal advisors, auditors, landlords, vendors, and regulatory authorities.
- Provide practical and commercially viable legal solutions to support business objectives.
9. Compliance & Regulatory Oversight
- Monitor changes in:
- Corporate and commercial laws
- Labour and employment laws
- Consumer protection laws
- Data privacy and technology regulations
- Real estate and property-related regulations
- Industry-specific regulatory frameworks
- Advise relevant stakeholders on the impact of regulatory changes and ensure timely compliance across operating locations.
10. Intellectual Property Management
- Protect and manage the company's intellectual property, including trademarks, copyrights, brand assets, games, concepts, creative content, and proprietary materials.
- Manage IP registrations, renewals, licensing, assignments, and related documentation.
- Review agreements to ensure appropriate IP ownership, assignment, confidentiality, and usage rights.
- Advise on and address instances of IP infringement, misuse, or unauthorized use.
Desired Qualifications & Experience
- LLB / LLM from a recognized university.
- 5–10 years of relevant experience in corporate, commercial, or in-house legal roles.
- Strong experience in:
- Corporate and commercial contracting
- Employment and labour laws
- Real estate and lease agreements
- Corporate governance and stakeholder agreements
- Data privacy and website regulations
- Intellectual property
- Strong drafting, negotiation, legal research, and contract management skills.
- Ability to independently manage legal matters and work effectively with multiple stakeholders.
- Experience with startups, Family Entertainment Centres (FECs), hospitality, retail, entertainment, or multi-location businesses will be an advantage.
