Job Summary
The Legal Manager will be responsible for ensuring IFACET's compliance with the Companies Act, 2013, Income Tax Act, and other applicable laws governing non-profit organizations. The role involves managing legal risk, drafting and vetting agreements, liaising with regulatory authorities, and advising management and the Board on governance and compliance matters.
Key Responsibilities
Statutory & Regulatory Compliances
- Ensure compliance with Section 8 provisions under the Companies Act, 2013, and Companies (Incorporation) Rules
- Manage ROC filings (annual returns, financial statements, board resolutions) in coordination with the Company Secretary
- Handle registrations and renewals under 12A, 80G, and 12AB of the Income Tax Act
- Monitor changes in applicable laws (Companies Act, Income Tax, Labour Laws, Data Protection) and update internal policies accordingly
Corporate Governance
- Support Board and General Meetings – drafting notices, agendas, minutes, and resolutions
- Suggest the Board and management on governance best practices and fiduciary duties
- Maintain statutory registers and records
- Ensure adherence to the Memorandum of Association (MOA) and Articles of Association (AOA)
Contract & Agreement Management
- Draft, review, and negotiate MOUs, grant agreements, partnership agreements, vendor contracts, and employment agreements
- Vet donor agreements and funding contracts (domestic and foreign) for legal risk
- Maintain a contract repository and track renewal/expiry timelines
Litigation & Dispute Management
- Handle or coordinate legal proceedings, notices, and disputes involving the organization
- Liaise with external legal counsel where required
- Manage legal risk assessment and mitigation strategies
Policy & Advisory
- Draft and update internal policies (POSH, whistleblower, data protection, conflict of interest, financial governance)
- Suggest programme/project teams on legal implications of activities and partnerships
- Ensure compliance with labour laws applicable to employees and volunteers
Liaison & Representation
- Act as point of contact with regulatory bodies (ROC, Income Tax Department etc,)
- Represent the organization in interactions with auditors, legal counsel, and government departments
Qualifications & Experience
- LLB/LLM from a recognized university; Company Secretary (CS) qualification is a plus
- 7–10 years of relevant experience in corporate/non-profit legal compliance, preferably with exposure to Section 8 companies, trusts, or societies
- Strong knowledge of Companies Act 2013, Income Tax provisions for non-profits (12A/80G/12AB), and labour laws
- Experience drafting and negotiating contracts and MOUs

Pay: ₹500,000.00 - ₹720,000.00 per year
