Role Overview
Roswalt Realty is looking for an experienced legal professional to lead the legal workstream within the acquisition process.
This is a specialised legal role embedded with the Business Development and Acquisitions team. The role will not be responsible for sourcing deals, building broker or landowner pipelines, or leading commercial negotiations. The primary responsibility is to ensure legal certainty across all acquisition and redevelopment transactions.
The selected candidate will manage title and legal due diligence, identify and resolve legal risks, draft and vet transaction documents, and oversee RERA, SRA, AGRC and other statutory documentation required for deal closure.
This is not a litigation-focused role. Litigation, arbitration or tribunal matters, where required, will be handled through external counsel under the candidate’s coordination.
Key ResponsibilitiesLegal Due Diligence and Title Management
- Manage end-to-end legal and title due diligence for all acquisition opportunities brought forward by the Business Development team.
- Conduct title searches and review encumbrances, revenue records, mutation entries and the complete conveyance chain.
- Identify title defects, ownership gaps, encumbrances and other legal red flags at an early stage.
- Coordinate rectification, regularisation, NOCs and other corrective actions before the transaction proceeds to closure.
- Prepare and issue clear legal opinions and due-diligence sign-offs for each acquisition.
- Ensure that no transaction is presented for final closure approval with unresolved legal risks.
Agreement Drafting and Vetting
- Draft, review and finalise Development Agreements, Joint Venture Agreements, Letters of Intent, PAAAs and landowner agreements.
- Ensure that commercial terms negotiated by the Business Development team are legally sound, enforceable and properly documented.
- Review compensation, escrow and disbursement clauses from a legal and compliance perspective.
- Draft and vet transaction documents related to redevelopment, acquisition, joint development and landowner arrangements.
- Ensure compliance with stamp duty, registration and applicable tax requirements.
- Maintain standard templates, precedent documents and drafting checklists for future transactions.
Regulatory and Statutory Compliance
- Prepare and manage RERA registration documentation and ongoing compliance requirements for acquisition projects.
- Lead the legal and documentation workstream for SRA applications and AGRC submissions.
- Coordinate with the Business Development team for site, member, tenant and commercial inputs required for statutory submissions.
- Liaise with BMC, the Estate Department, the Registrar of Cooperative Societies and other statutory authorities.
- Handle legal and compliance requirements relating to Section 79-A processes.
- Support municipal approval processes from a legal-compliance perspective.
- Ensure all acquisition and redevelopment documentation complies with applicable Maharashtra real estate laws and regulations.
Legal Risk Management
- Maintain a live legal-risk register for every acquisition in the pipeline.
- Track title, documentation, approval, compliance and litigation-related risks.
- Escalate critical legal issues to the Head of Acquisitions and senior management.
- Maintain complete legal documentation trails and due-diligence checklists.
- Build and maintain a central repository of legal precedents, SOPs and transaction documents.
- Ensure all documentation remains organised, current and audit-ready.
External Counsel Coordination
- Coordinate litigation, arbitration and contested matters connected to acquisition transactions through external counsel.
- Prepare briefs, provide relevant documents and track the progress of legal matters.
- Review legal advice received from external counsel and communicate implications to management.
- Monitor timelines, hearings and outcomes without personally appearing before courts or tribunals.
- Maintain regular status updates on all contested acquisition matters.
Coordination with Business Development and Acquisitions
- Work as the standing legal partner to the Business Development and Acquisitions team from initial evaluation through final closure.
- Participate in acquisition stage-gate reviews and provide timely legal inputs.
- Advise on legal aspects of transaction structuring without owning commercial negotiations.
- Ensure proposed deal structures are legally compliant and commercially workable.
- Work closely with architects, consultants, landowners, societies, government authorities and external counsel.
- Provide periodic legal-status updates on the acquisition pipeline to senior management.
Candidate Profile
- LLB is mandatory.
- 8–12 years of experience in Mumbai real estate legal work.
- Strong experience in title due diligence, agreement drafting and regulatory compliance for redevelopment or acquisition transactions.
- Experience as in-house legal counsel, a real estate legal advisor or a senior associate handling redevelopment transactions will be preferred.
- Strong working knowledge of DCPR 2034, Section 79-A, RERA, SRA and AGRC requirements.
- Good understanding of Maharashtra-specific title, revenue and registration procedures.
- Demonstrated experience independently managing title due diligence.
- Hands-on experience drafting and vetting Development Agreements, Joint Venture Agreements, Escrow Agreements and Compensation Agreements.
- Experience coordinating external counsel on litigation or contested matters.
- Strong communication and stakeholder-management skills.
- Ability to work closely with Business Development, architects, consultants and regulatory authorities.
- Excellent communication skills in English and Hindi.
- Marathi language proficiency will be preferred.

Important Role Clarification
This is a legal support role within the acquisition process.
The candidate will not be responsible for:
- Deal sourcing or broker-network development
- Landowner pipeline creation
- Commercial deal negotiation
- Court appearances or direct litigation advocacy
The role is focused on title diligence, legal documentation, regulatory compliance and legal-risk closure for live acquisition and redevelopment transactions.
Pay: ₹130,000.00 - ₹150,000.00 per month
