Essential Functions and Responsibilities
Reporting to the VP and Assistant GC, Head of Compliance and working closely with the wider Legal & Compliance team and the Sirva business.
The individual in this role will be responsible for:
- supporting the Head of Compliance with the development, implementation, and monitoring of Sirva’s Compliance framework to ensure adherence to applicable laws, regulations, and internal policies. The role helps mitigate regulatory risk, sanctions risk, and promotes a culture of integrity and ethical conduct across the whole of Sirva
- supporting and leading Compliance investigations and maintaining investigations logs/reports
- supporting the Corporate Governance team as required with APAC/Europe/Middle East corporate governance requirements
- supporting with ad hoc preparation and review of commercial and HR related contracts
- supporting and advising the People team in India when employment related questions arise
Key Responsibilities
Approx. 70% | Compliance Team Key Responsibilities
Assisting the Head of Compliance to:
Regulatory Compliance
- monitor and interpret relevant laws, regulations, and regulatory guidance applicable to the business (including sanctions laws and regulations)
- support implementation of regulatory requirements and internal compliance policies
- provide day-to-day compliance advice to business stakeholders
- assist with regulatory filings, disclosures, and reporting obligations
- support responses to regulatory enquiries or audits when needed
Policies & Procedures
- assist in drafting, reviewing, and updating compliance policies and procedures
- ensure policies remain current with regulatory developments
- support policy rollout and internal awareness
Investigations
- Conduct and/or support investigations into potential breaches of Sirva’s Code of Conduct
- support the handling of whistleblowing reports and incidents
- Recommend corrective actions and control improvements
- maintain the relationship with Sirva’s ethics hotline provider
- prepare reports on investigations
- maintain the register of Investigations, track remediation actions and ensure timely resolution
Training & Awareness
- Support in delivering Sirva’s Annual Compliance training and other ad hoc training
- Promote a strong compliance culture across the organisation
Risk Management
- Work closely with Risk, Legal & Compliance, and Internal Audit teams to identify and assess compliance risks
- Contribute to risk assessments and compliance risk registers
Management of Compliance operatives
- Manage individual(s) based in India who will provide support around various third party diligence, including sanctions checking and onboarding diligence processes. Those same individuals will also provide general administrative support to the Legal & Compliance team, including processing invoices
Approx. 10% | Corporate Governance Support
Assisting the Corporate Governance team to:
- Advise on corporate governance requirements and best practices for India
- Support the operation of boards and committees in for Sirva India, including:
- Preparing agendas and papers
- Reviewing, drafting and managing board and shareholder minutes and resolutions
- Provide guidance and training to directors and senior management globally on fiduciary duties and governance obligations
- Support annual governance processes (e.g. AGMs, annual reports, governance disclosures) for Sirva APAC/Europe/Middle East
- Maintain statutory books and corporate records for Sirva APAC/Europe/Middle East
- Manage corporate structure changes for Sirva APAC/Europe/Middle East (e.g. incorporations, dissolutions, restructurings)
- Liaise with company secretarial providers (as needed) for Sirva APAC/Europe/Middle East
Approx. 10% | Ad hoc review of commercial contracts
Commercial Contracting
- draft, review, and negotiate a range of commercial contracts, including:
- Master services agreements (MSAs)
- NDAs, framework agreements, and terms of business
- provide pragmatic, risk-based advice on contractual terms and commercial issues
- support contract lifecycle management from initiation through to execution and renewal
- identify legal and commercial risks in contracts and propose mitigation strategies
- ensure contracts comply with relevant laws and regulations (e.g. data protection, consumer law, competition law where applicable)
- support implementation of internal policies related to contracting
Approx. 10% | Supporting and advising the People team in India
- provide day-to-day legal advice on Indian employment and labour law matters and on employee relations issues
- ensure compliance with applicable Indian labour laws and monitor legislative and regulatory developments and assess their impact on the business
- provide legal support on workplace investigations, including whistleblowing matters
- liaise with external counsel on labour litigation where required
Qualifications and Preferred Skills
Required
- Minimum 5 years PQE
- Understanding and exposure to corporate governance frameworks and company secretarial work
- Prior experience in a compliance role, including familiarity with compliance programmes
- Experience in drafting and negotiating a range of commercial contracts
- Experience in advising on India employment law requirements
- High integrity and ethical standards, and strong professional judgment
- Strong communication and teamwork skills
- Collaborative and responsive
- Ability to work independently and manage competing priorities
- Strong time management skills
- Able to work under pressure with positive working attitude and strong sense of responsibility
