Job Title: Company Secretary Trainee

About the Role

Cogdel Digital Signature & Management Services LLP is looking for a Company Secretary Trainee to join our Secretarial & Compliance team. The trainee will receive practical exposure to Companies Act compliance, MCA filings, corporate secretarial work, documentation, client coordination and related professional assignments.

The role is suitable for a CS student looking to develop strong practical and professional skills through hands-on exposure to multiple client assignments.

Key Responsibilities

Assist in preparation of Board Meeting and General Meeting documents.
Draft notices, agendas, resolutions and minutes.
Assist in MCA/ROC filings and statutory compliance.
Assist in preparation and filing of annual returns and financial statement filings.
Maintain statutory registers and records.
Assist in incorporation and post-incorporation compliances.
Assist with changes in directors, shareholders, registered office and other corporate information.
Assist in share transfer, transmission, allotment and other share-related matters.
Assist in preparation of documents relating to increase of capital, alteration of constitutional documents and other corporate actions.
Track statutory deadlines and maintain compliance calendars.
Review client documents and identify missing information.
Coordinate with clients for documents, signatures and approvals.
Assist in Digital Signature Certificate (DSC) processing and related documentation.
Assist in internal audit and secretarial audit assignments.
Conduct basic research on the Companies Act, Rules, MCA notifications, circulars and related regulations.
Maintain proper working papers and client files.
Assist seniors in NCLT, FEMA, investment advisory and other specialised assignments, wherever applicable.
Perform any other secretarial/compliance work assigned by the senior.

Skills We Are Looking For

Basic knowledge of the Companies Act, 2013.
Understanding of basic company secretarial concepts.
Good drafting and documentation skills.
Basic knowledge of MCA/ROC procedures.
Good MS Word and MS Excel skills.
Good written and verbal communication.
Ability to read and understand legal/compliance provisions.
Good attention to detail.
Willingness to learn and take responsibility.
Ability to work on multiple client assignments and meet deadlines.

Candidates with prior experience in a Company Secretary / compliance consultancy firm
