1. Ensuring Legal and Regulatory Compliance
- Ensure the company follows the provisions of the Companies Act, 2013 and other applicable laws.
- File annual returns, financial statements, and statutory documents with regulatory authorities.
- Maintain statutory registers and records.
2. Corporate Governance
- Advise the Board of Directors on governance practices and legal responsibilities.
- Ensure proper implementation of corporate governance policies.
- Help maintain ethical standards within the organization.
3. Conducting Board and General Meetings
- Organize Board Meetings, Committee Meetings, and Annual General Meetings (AGMs).
- Prepare agendas, notices, and minutes of meetings.
- Ensure meetings are conducted according to legal procedures.
4. Advisory Role to Directors
- Provide guidance on directors’ duties and responsibilities.
- Assist in strategic decision-making from a legal and compliance perspective.
- Keep directors updated on changes in laws and regulations.
5. Maintaining Company Records
- Maintain important company documents such as:
- Memorandum of Association (MOA)
- Articles of Association (AOA)
- Shareholder records
- Minutes books
6. Handling Shareholder Matters
- Communicate with shareholders and investors.
- Manage dividend distribution and share transfers.
- Resolve investor grievances.
7. Liaison with Government and Regulatory Authorities
- Coordinate with authorities such as:
- Ministry of Corporate Affairs
- Securities and Exchange Board of India (for listed companies)
- Registrar of Companies (ROC)
8. Secretarial Audit and Compliance Reporting
- Conduct or assist in secretarial audits.
- Prepare compliance reports and certifications.
- Monitor risk management and internal controls.
9. Financial and Administrative Duties
In some organizations, the CS may also:
- Assist in financial planning and budgeting.
- Oversee administrative functions.
- Support HR and legal departments.
10. Corporate Communication
- Help prepare annual reports and disclosures.
- Maintain communication between management, shareholders, and stakeholder
Pay: ₹30,000.00 - ₹40,000.00 per month
