Position - Company Secretary & Compliance Officer (Listed Entity)
Reporting To Board of Directors / Managing Director / CEO
A. Core Role
The CS to acts as a Key Managerial Personnel (KMP) and is responsible for ensuring corporate governance, regulatory compliance, and secretarial functions in line with Securities and Exchange Board of India regulations.
B. Key Responsibilities
1. Board & Committee Management
- Convene and manage Board Meetings and Audit Committee, NRC, CSR Committee, etc.
- Draft Agenda, Notes, Minutes
- Ensure compliance with Secretarial Standards
- Advise Board on governance matters
- Coordinate appointment of Scrutinizer and ensure completion of e-voting process and submission of Scrutinizer’s Report for AGM/EGM.
2. SEBI & Listing Compliance
- Ensure compliance with SEBI (LODR) Regulations, 2015
- Handle Stock exchange filings (quarterly/annual), Corporate announcements and Disclosure of events (Regulation 30)
- Liaison with Stock Exchanges (NSE/BSE)
- Ensure timely submission of financial results, Shareholding pattern and Voting results etc
3. Corporate Governance
- Implement best governance practices
- Maintain Code of Conduct and Insider Trading Code under SEBI (PIT) Regulations, 2015
- Monitor related party transactions
- Ensure Board independence compliance
4. Statutory Compliance
- Ensure compliance under Companies Act and Other corporate laws if any applicable
- Filing of forms with MCA (ROC)
- Maintain statutory registers and records
5. Shareholder & Investor Relations
- Handle AGM / EGM and Other compliance related matters to these meetings
- Ensure proper conduct of E-voting and meeting procedures
- Coordinate with RTA (Registrar & Transfer Agent)
- Address investor grievances
6. Secretarial Audit & Reporting
- Coordinate Secretarial Audit and Annual Report disclosures
- Ensure closure of audit observations
- Prepare Board Report sections and Corporate Governance Report
7. Compliance Monitoring
- Develop compliance checklist/system
- Track due dates and filings
- Report non-compliances to Board
- Conduct periodic internal compliance reviews
8. Advisory Role
- Advise management on Legal structuring, Corporate actions (bonus, split, rights issue, buyback), Mergers, acquisitions and restructuring
- Interpret regulatory changes and ensure implementation
- Support strategic decision-making from a governance perspective
9. Website Compliance & Digital Disclosures
- Ensure maintenance of company website in compliance with SEBI (LODR) Regulations, 2015 (Regulation 46)
- Upload and regularly update financial results, Shareholding pattern, Policies and codes, Annual reports and Notices of meetings
- Ensure Information is accurate, updated, and accessible
- Coordinate with IT / Website team
- Conduct periodic review and audit of website compliance
C. Additional Role (Mandatory in Listed Company)
- Acts as Compliance Officer under SEBI
- Responsible for certification of compliance reports
D. Qualifications & Skills
- Member of Institute of Company Secretaries of India
- 5–15 years
- Strong knowledge of SEBI laws and corporate laws
- Skills Drafting, Communication with regulators and Attention to detail
Pay: ₹800,000.00 - ₹900,000.00 per year
