Role Overview
We are seeking a detail-oriented and proactive Senior Legal Associate to join our growing Legal & Compliance team. The ideal candidate will have 2-3 years of post-qualification experience with strong expertise in contract drafting, review, negotiation, and end-to-end contract management, along with exposure to corporate transactions such as venture capital investments, joint ventures, mergers and acquisitions, and corporate advisory.
The role requires a commercially minded legal professional who can support business operations by providing practical legal solutions, managing legal documentation across functions, mitigating risks, and ensuring compliance with applicable laws.
Key Responsibilities
- Independently undertake end-to-end drafting, review, negotiation, execution, and management of a wide range of corporate and commercial contracts.
- Draft, review, and negotiate transaction documents including Shareholder Agreements (SHA), Share Subscription Agreements (SSA), Share Purchase Agreements (SPA), Investment Agreements, Joint Venture Agreements, Business Transfer Agreements, NDAs, MOUs, and other corporate legal documentation.
- Draft, review, and manage vendor agreements, service agreements, consultancy agreements, employment-related agreements, partnership agreements, licensing agreements, and other commercial contracts executed by the organization.
- Provide legal support on venture capital investments, strategic partnerships, joint ventures, mergers, acquisitions, business restructuring, and other corporate transactions.
- Conduct and coordinate legal due diligence, identify legal risks, and recommend appropriate mitigation strategies.
- Advise internal stakeholders on corporate structuring, contractual obligations, legal risk management, and regulatory compliance.
- Draft Board Resolutions, Shareholder Resolutions, and manage corporate secretarial documentation, including ROC filings under the Companies Act.
- Coordinate with external legal counsel on specialized legal matters, transaction execution, litigation support, and regulatory issues whenever required.
- Work closely with the Finance, HR, Operations, Strategy, and Business teams to provide timely legal advice and support business objectives.
- Maintain legal records, contract repositories, and documentation in an organized and compliant manner.
- Stay updated on developments in corporate, commercial, contractual, and regulatory laws relevant to the organization's operations.
Requirements
- Bachelor's Degree in Law (LL.B.) from a recognized institution.
- 3-4 years of post-qualification experience in corporate law, preferably in an in-house legal team or a law firm with exposure to corporate advisory and commercial contracts.
- Proven ability to independently undertake end-to-end drafting, review, negotiation, execution, and management of contracts.
- Experience in handling transaction documents along with vendor agreements, service agreements, consultancy agreements, employment-related agreements, partnership agreements, licensing agreements, and other commercial contracts.
- Solid understanding of Indian laws, including the Companies Act, Indian Contract Law, FEMA, and other applicable corporate laws.
- Strong legal drafting, negotiation, analytical, and research skills.
- Excellent communication, stakeholder management, and interpersonal skills.
- Ability to manage multiple assignments, prioritize effectively, and work in a fast-paced environment with high attention to detail.
- Proficiency in Microsoft Office and legal documentation management.
