We are looking for a dynamic and commercially astute a Principal Associate to join the Corporate Advisory practice. The role offers an opportunity to advise domestic and international clients on a broad spectrum of corporate and commercial matters, including corporate restructuring, and general corporate advisory. The ideal candidate should possess strong drafting, negotiation, analytical, and client management skills, with the ability to independently handle transactions while mentoring junior team members.Key Responsibilities
- Advise clients on corporate and commercial laws, regulatory matters, and governance issues.
- Draft, review, and negotiate a wide range of transaction and commercial documents, including:
- Share Purchase Agreements (SPA)
- Shareholders' Agreements (SHA)
- Subscription Agreements (SSA)
- Joint Venture Agreements (JVA)
- Business Transfer Agreements (BTA)
- Asset Purchase Agreements
- Commercial contracts and service agreements
- Non-Disclosure Agreements (NDA)
- Term Sheets and Memoranda of Understanding (MoU)
- Conduct legal due diligence and prepare due diligence reports.
- Advise on company law, corporate governance, foreign investment, and regulatory compliance.
- Liaise with clients, regulators, consultants, and opposing counsel throughout transactions.
- Identify legal risks and provide practical, business-oriented solutions.
- Manage multiple transactions and ensure timely delivery of assignments.
- Supervise, mentor, and review the work of junior associates.
- Contribute to business development initiatives, client pitches, articles, knowledge sessions, and practice development activities.
Qualifications
- LL.B. from a recognised university.
- LL.M will be an added advantage.
Experience
- min 8+ years of post-qualification experience in a reputed law firm.
- Significant experience in Corporate Advisory and General Corporate Advisory.
Desired Skills
- Strong understanding of the Companies Act, 2013 and related corporate laws.
- Knowledge of FEMA, FDI regulations, SEBI regulations (where applicable), and other regulatory frameworks.
- Excellent drafting, negotiation, and legal research skills.
- Strong commercial acumen with the ability to provide practical legal advice.
- Excellent communication and interpersonal skills.
- Ability to independently manage complex transactions and client relationships.
- Strong organisational and project management skills.
- Team-oriented with mentoring and leadership capabilities.
Pay: ₹80,000.00 - ₹100,000.00 per month
