We are seeking a qualified and proactive Company Secretary (CS) to lead our corporate secretarial and statutory compliance functions while supporting senior management in governance and regulatory matters.
Job Summary
The Company Secretary will be responsible for ensuring compliance with the Companies Act, corporate governance standards, Secretarial Standards, and other applicable statutory regulations. The role requires excellent knowledge of ROC filings, board procedures, corporate documentation, and legal compliance.
Key Responsibilities
- Ensure full compliance with the Companies Act, 2013 and Secretarial Standards.
- Manage all ROC filings, MCA compliances, statutory returns, annual filings, and event-based filings within prescribed timelines.
- Organize Board Meetings, Committee Meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs).
- Prepare Board Agendas, Notices, Minutes, Resolutions, and maintain statutory records.
- Maintain statutory registers and company records as per legal requirements.
- Coordinate with Directors, Auditors, Bankers, Legal Consultants, and Government Authorities.
- Assist in drafting legal agreements, corporate policies, resolutions, and governance documents.
- Monitor amendments in corporate laws and advise management regarding regulatory changes.
- Support Secretarial Audit, Internal Audit, Statutory Audit, and Due Diligence activities.
- Ensure compliance with FEMA, RBI, and other regulatory requirements, where applicable.
- Assist in maintaining licenses, registrations, and statutory approvals.
- Work closely with Finance, HR, Taxation, and Operations teams to ensure organization-wide compliance.
- Handle confidential corporate information with professionalism and integrity.
Required Qualifications
- Qualified Company Secretary (Associate/Fellow Member of ICSI).
- Bachelor's Degree in Commerce, Law, Business Administration, or related discipline.
- Minimum 3 years of relevant experience in Corporate Secretarial and Compliance functions.

- Excellent drafting, analytical, and documentation skills.
- Advanced knowledge of Microsoft Word, Excel, and PowerPoint.
- Strong communication and stakeholder management abilities.
Preferred Skills
- Experience in Retail, Jewellery, Manufacturing, FMCG, or Corporate organizations.
- Knowledge of Labour Laws, FEMA, RBI regulations, GST, and Corporate Tax compliance.
- Exposure to ERP systems and compliance management software.
- Ability to manage multiple statutory deadlines.
- High level of integrity, professionalism, and attention to detail.
