1. Corporate Governance and Compliance:
- Ensuring legal and statutory compliance:This includes filing necessary documents, maintaining statutory registers, and keeping up-to-date with regulatory changes.
- Advising on corporate governance matters:This involves providing guidance on policies, procedures, and best practices related to governance.
- Managing board and shareholder meetings:Organizing, preparing agendas, taking minutes, and ensuring proper notices are given.
- Maintaining company records:Keeping accurate records of shareholders, directors, and other relevant information.
- Overseeing annual general meetings (AGMs):Preparing reports, ensuring requirements are met, and handling meeting correspondence.
2. Legal and Regulatory Affairs:
- Monitoring legal and regulatory changes: Staying informed about updates to relevant laws and regulations.
- Vetting legal documents: Reviewing contracts, agreements, and other legal documents to ensure compliance.
- Liaising with external professionals: Working with lawyers, auditors, and other advisors.
- Ensuring the company's legal compliance: This includes adhering to applicable standards and codes.
3. Administrative and Secretarial Functions:
- Scheduling appointments and managing calendars: Handling scheduling for meetings and events.
- Facilitating communication: Ensuring effective communication within the company and with external stakeholders.
- Managing customer files: Organizing and maintaining customer records.
- Preparing meeting agendas and taking minutes: Drafting agendas for board and general meetings and recording minutes.
4. Other Responsibilities:
- Advising on financial matters: Providing advice on financial aspects of the business.
- Managing share option schemes: Overseeing the administration of share option programs.
- Maintaining good shareholder relations: Acting as a point of contact for shareholders and building positive relationships.
- Implementing systems for good management: Implementing processes and systems to ensure effective operations.
- Dealing with personnel administration and insurance policies: Managing aspects of employee benefits and insurance.
