EisnerAmper is seeking an Attorney based in India to join our in-house legal team. This role is specifically designed to support our US-based General Counsel office and requires demonstrated knowledge of United States law and legal practice. Your responsibilities will include reviewing and preparing responses to legal provisions in Request for Proposals, review and drafting of commercial contracts (including engagement letters, client contracts, software licenses, and information technology agreements), contract negotiation, compliance review and tracking, and document review in support of subpoena responses.

What Work You Will be Responsible For:
- Analyzing and confirming compliance obligations in connection with Requests for Proposals and Solicitations and preparing exceptions or redlines to proposal documents

Reviewing and negotiating NDAs, engagement letters, master services agreements and other commercial contracts

Supporting General Counsel in document review and responding to third party subpoenas

Supporting General Counsel in the management of privacy law, information security, insurance and risk management programs

Supporting General Counsel in managing records retention programs

Collaborating across US time zones with the General Counsel’s office and other US-based legal and business teams, ensuring timely and effective support despite geographic distance
Basic Qualifications:
- J.D. degree from a US-accredited law school or Master of Laws (LL.M.) in US Law; must be eligible to practice or advise on US law matters from India

5+ years of experience in US commercial contracts, MSA agreements, vendor contracts, with experience working directly with or on behalf of US-based clients or legal teams

Experience with US regulatory compliance frameworks, including but not limited to data privacy (CCPA, HIPAA), employment law, and professional services regulations

Experience supporting a US-based in-house legal or General Counsel office from an offshore or international location required

Willingness and ability to work flexible hours to accommodate overlap with US Eastern and Central time zones, as needed to collaborate effectively with the General Counsel’s office
Preferred/Desired Qualifications:

Strong background in contract drafting and review and negotiation experience

Proficiency in US contract law, including familiarity with governing law, indemnity, and dispute resolution provisions

Bar admission or eligibility in a US jurisdiction is preferred

Excellent written and verbal communication skills in English, with the ability to draft and present legal analysis clearly for US-based stakeholders

Prior experience at a US law firm, in a global legal center, or supporting a US multinational’s in-house legal function from India or another offshore location is strongly preferred

Ability to work on a wide range of mission-critical projects with minimal supervision

Ability to identify, explain, and balance business and legal risks

Ability to engender trust; patience and strong client communication and organizational skills
