Job Description
- Draft, review and negotiate the full range of commercial agreements — master service agreements, SaaS subscription terms and order forms, statements of work, NDAs, vendor and procurement contracts, and reseller / channel-partner / referral agreements.
- Own the data protection and privacy terms in our contracts (DPAs, cross-border transfer clauses, standard contractual clauses) and keep contracting templates aligned with India's DPDP Act, GDPR and applicable US state privacy laws.
- Build and maintain the contract playbook, template library and fallback positions so routine deals close quickly and only genuine risks escalate.
- Advise sales, procurement, product and business teams on contractual risk — liability, indemnity, IP ownership, SLAs and termination.
- Run the contract lifecycle: turnaround SLAs, version control, approval workflow and a clean repository of executed agreements.
- Handle end-to-end secretarial compliance for the Indian company under the Companies Act 2013 — board and committee meetings, agendas, minutes, resolutions, statutory registers and ROC/MCA filings.
- Support the board and management on governance, corporate actions, share allotments, cap-table maintenance and statutory records.
- Coordinate corporate governance and registered agent / secretarial obligations for the US and Canadian entities with local counsel and agents.
- Manage FEMA/RBI and related cross-border matters — intercompany arrangements, remittances, FDI/ODI filings and reporting.
- Own the group compliance calendar across entities and jurisdictions; track obligations and flag changes in law that affect the business.
- Partner with Finance on the legal aspects of transfer-pricing documentation, related-party arrangements, and audit and diligence responses.
- Protect the Vantage Circle brand and platform — trademark portfolio, filings and enforcement across key markets.
- Manage notices, disputes and litigation; select and manage external counsel cost-effectively.
- Maintain company policies (privacy, code of conduct, whistleblower, information-security legal terms) and the overall legal-risk framework.
Must have
- Qualified Company Secretary (ACS/FCS, ICSI) and/or a law degree (LLB; LLM a plus).
- Around 8–12 years' post-qualification experience, ideally in a SaaS/technology company, or a mix of a strong law firm and in-house.
- Demonstrable hands-on experience drafting and negotiating cross border commercial contracts.
- Working knowledge of data-privacy regimes (DPDP, GDPR, US state laws) and cross-border/FEMA regulatory matters.
- Strong command of the Companies Act 2013 and secretarial practice.
