ISS STOXX is growing! We are seeking an experienced and highly qualified Corporate Counsel to join our dynamic Legal team in Gurgaon.
Overview:
As a member of the ISS STOXX Legal Team, the Corporate Counsel will be responsible for providing legal services and advice to ISS STOXX and its subsidiaries (in particular the group’s benchmark provider STOXX Ltd.), with a focus on providing legal support to the global sales team in connection with the drafting, negotiation, and review of complex commercial agreements including professional services and licensing agreements.
This position is based in Gurgaon, India, where our subsidiary STOXX India Pvt. Ltd. is located. STOXX India Pvt. Ltd. primarily contributes to STOXX Ltd.’s engineering, operations, and product development capabilities. The Corporate Counsel will join a team of four senior lawyers, three of whom are based in Prague, Czech Republic, with the team lead being based in Eschborn, Germany. Our Gurgaon office is expected to move to a new, modern, representative and easily accessible office location in Gurgaon in late 2026 or H1 2027.
The ISS STOXX Legal team consists of approximately 25 colleagues, located throughout the globe, the majority of whom are based in the US and the EU.
Responsibilities:
Provide legal advice to global teams on various legal matters including contracts (in particular index licenses), corporate law, regulatory requirements, product development, compliance matters and subsidiary management.
Structure, draft, review, analyze, and negotiate complex services agreements and license agreements, including professional services agreements, data and software licenses, procurement and supply agreements, and nondisclosure agreements.
Assist with modifications and updates to template agreements.
Assist with the review and modification of internal policies and processes.
Conduct legal research.
Qualifications:
LL.B. degree from a leading Indian law university or an internationally recognized foreign law school, with strong academic credentials, enrollment in good standing with an Indian State Bar Council (where applicable).
Minimum of five years of relevant experience at a top law firm and/or as in-house counsel, with experience in handling corporate and commercial matters for multinational firms.
Ability to review, analyze, and draft contract provisions in support of the negotiation of complex commercial agreements with clients, vendors, and other third parties.
Ability to lead the negotiation of complex commercial agreements and work effectively with client’s counsel as well as internal stakeholders.
Strong interpersonal, analytical, problem solving, organizational, time management, and communication skills.
Ability to work in a fast-paced environment and manage multiple assignments.
Desire and flexibility to support a global business.
Ability to learn business requirements quickly, analyze legal and business risks, and propose creative, business-oriented solutions.
Ability to build and maintain strong internal client relationships.
