Role Overview
As a Qualified Company Secretary, you will lead end-to-end secretarial and IPO execution work for a high-growth, pre-IPO group. This is a high-visibility, governance-critical role where you will manage SEBI compliance, coordinate with Merchant Bankers, and partner directly with senior leadership on capital markets readiness.
Key Responsibilities
IPO & Merchant Banking
- Lead and manage end-to-end IPO process and listing activities
- Coordinate with Merchant Bankers, legal advisors, registrars, and stock exchanges
- Prepare and vet DRHP / RHP and offer documents
- Ensure compliance with SEBI (ICDR), LODR, and listing regulations
- Act as the primary liaison with SEBI, Stock Exchanges, RoC, and Merchant Bankers
Corporate Governance & Secretarial Compliance
- Ensure compliance with the Companies Act, SEBI regulations, and other applicable laws
- Organize and manage Board Meetings, Committee Meetings, and AGMs
- Prepare agendas, minutes, and resolutions
- Maintain statutory registers and records
- Handle MCA filings and RoC compliance
Legal & Documentation
- Draft and review contracts, agreements, MoUs, and corporate documents
- Ensure all documentation aligns with regulatory and governance standards
Stakeholder & Investor Management
- Manage shareholder communication and investor relations
- Handle regulatory queries and compliance notices
- Support fundraising, restructuring, and corporate actions
Compliance & Advisory
- Track regulatory updates and ensure timely implementation
- Advise management on corporate law, governance, and compliance risks
- Strengthen internal governance frameworks and policies
Candidate Requirements
- Qualification: Fully qualified Company Secretary (ICSI) — mandatory
- Experience: 2+ years post-qualification (internship experience will not be considered)
- Core Skill: Hands-on experience in IPO process execution, DRHP/RHP documentation, SEBI filings, and coordination with Merchant Bankers — non-negotiable
- Knowledge: Strong command of Companies Act and SEBI regulations (ICDR, LODR)
- Attributes: Excellent drafting and documentation skills, strong stakeholder management, high attention to detail, and ability to work in a fast-paced, high-responsibility environment
- Notice Period: Immediate joiners preferred (maximum 30 days)
Compensation
- Up to ₹12 LPA (based on experience and current CTC)
- High-visibility role with direct senior leadership exposure
Selection Criteria
- Demonstrated hands-on IPO and Merchant Banking experience
- Proven track record in SEBI compliance and listing readiness
- Stability and commitment in previous roles
Pay: ₹50,000.00 - ₹100,000.00 per month
