Key Responsibilities:
- Ensure compliance with the provisions of the Companies Act, 2013, Secretarial Standards, FEMA, and other applicable corporate laws and regulations.
- Assist in planning, convening, and conducting Board Meetings, Committee Meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs).
- Prepare and draft notices, agendas, Board notes, resolutions, minutes, and other secretarial documents.
- Manage all ROC filings, annual filings, event-based filings, and statutory returns within prescribed timelines.
- Maintain statutory registers, records, minutes books, and other corporate records in compliance with legal requirements.
- Liaise with the Registrar of Companies (ROC), regulatory authorities, auditors, legal consultants, banks, and other external stakeholders.
- Monitor changes in applicable laws and ensure timely implementation of statutory and regulatory requirements.
- Support legal and compliance documentation related to banking, financing, contracts, and corporate transactions.
- Assist in conducting compliance audits and ensuring adherence to internal policies and governance frameworks.
- Coordinate with various departments to ensure timely collection of information for statutory filings and compliance.
- Maintain records relating to directors, shareholders, share capital, and other corporate matters.
- Assist in preparing compliance reports and MIS for senior management.
- Ensure confidentiality and proper management of all secretarial and legal documents.
Qualifications:
- Qualified Company Secretary (ACS) from the Institute of Company Secretaries of India (ICSI); or
- Semi-Qualified Company Secretary (Executive Programme Passed / Professional Programme Pursuing) with strong and relevant practical experience.
Experience:
- Minimum 5+ years of relevant experience in Secretarial, Corporate Compliance, and Legal functions.
- Experience in a manufacturing company, preferably in the electrical, engineering, or industrial products sector, will be preferred.
- Hands-on experience in ROC filings, Board processes, statutory compliance, and corporate documentation is essential.
Required Skills :
- Strong knowledge of the Companies Act, 2013, Secretarial Standards, MCA/ROC compliance, and corporate governance practices.
- Working knowledge of FEMA, labour law compliances, and SEBI Regulations (where applicable) will be an added advantage.
- Excellent drafting and documentation skills.
- Strong communication and interpersonal skills.
- Proficiency in MS Office and MCA filing systems.
- Ability to work independently, manage multiple assignments, and meet statutory deadlines.
- High level of integrity, confidentiality, and attention to detail.
Pay: ₹30,000.00 - ₹40,000.00 per month
Work Location: In person
