Job Responsibilities – Company Secretary (CS) – NBFC
1. Corporate Secretarial Compliance
- Ensure compliance with the Companies Act, 2013, applicable rules and regulations.
- Manage Board Meetings, Committee Meetings and General Meetings.
- Prepare notices, agendas, resolutions and minutes of meetings.
- Maintain statutory registers, records and corporate documents.
- Handle ROC/MCA filings within prescribed timelines.
- Draft and maintain Board and shareholder resolutions.
2. RBI & NBFC Compliance
- Ensure compliance with applicable RBI regulations, Master Directions and circulars for NBFCs.
- Coordinate preparation and submission of applicable RBI returns and regulatory filings.
- Monitor changes in RBI regulations and advise management/Board regarding their impact.
- Assist with RBI applications/approvals wherever required.
- Maintain records relating to NBFC registration and regulatory compliances.
3. Board & Corporate Governance
- Advise the Board and management on corporate law and governance matters.
- Ensure proper constitution and functioning of Board Committees.
- Coordinate with Directors and senior management for statutory and regulatory matters.
- Monitor related-party transactions, disclosures and other governance requirements.
- Ensure compliance with Directors' disclosures and declarations.
4. Statutory & Regulatory Filings
- Prepare and file applicable forms with MCA/ROC and RBI.
- Coordinate with statutory auditors, internal auditors and other professionals.
- Track statutory compliance calendars and ensure timely completion.
- Maintain a proper compliance database and supporting documentation.
5. Annual Compliance
- Coordinate preparation of the Annual Report.
- Handle Annual General Meeting (AGM) and related filings.
- Prepare applicable Board reports and corporate governance disclosures.
- Ensure timely filing of annual returns and financial statement-related forms.
6. Legal & Documentation
- Draft and review corporate resolutions, agreements and official correspondence.
- Maintain proper documentation of loans, investments, securities and corporate actions where relevant.
- Coordinate with external legal counsel on corporate and regulatory matters.
7. Compliance Monitoring
- Maintain a compliance tracker/calendar for Companies Act, RBI, SEBI (if applicable), FEMA, and other laws applicable to the NBFC.
- Identify compliance gaps and report them to senior management/Board.
- Follow up on audit observations and ensure timely closure.
Key Skills Required
- Membership of ICSI and valid Company Secretary qualification.
- Good knowledge of Companies Act, 2013 and RBI/NBFC regulations.
- Knowledge of MCA/ROC and RBI online filing systems.
- Strong drafting and documentation skills.
- Good understanding of corporate governance.
- Ability to coordinate with the Board, auditors, RBI, MCA and other regulators.
- Good communication and analytical skills.
- Experience in an NBFC/financial services company is preferred.

For a senior NBFC role, the position can also include responsibility for RBI compliance, corporate governance, regulatory reporting, Board support and overall compliance management.
Pay: ₹60,000.00 - ₹70,000.00 per month
