Roles & Responsibilities
1. Contract & MoU Review
- Read and understand MoUs, agreements, NDAs, vendor contracts, partnership agreements, and business contracts.
- Summarize important clauses for management.
- Identify key benefits, commercial terms, obligations, renewal dates, penalties, and termination clauses.
- Highlight potential business risks before signing.
- Compare contracts with company policies.
2. Documentation Management
- Maintain a digital repository of all agreements.
- Track contract versions and amendments.
- Ensure agreements are properly signed and executed.
- Maintain confidentiality of sensitive documents.
3. Compliance Coordination
- Monitor contract expiry and renewal dates.
- Ensure contractual obligations are fulfilled by both parties.
- Coordinate compliance documentation.
- Keep records of statutory licenses and business registrations.
4. Legal Coordination
- Liaise with external legal counsel whenever legal interpretation is required.
- Prepare documents required by lawyers.
- Follow up on legal notices and documentation.
- Coordinate dispute-related paperwork.
5. Business Support
- Review commercial terms before vendor onboarding.
- Assist procurement, HR, finance, and sales teams in contract-related matters.
- Verify payment terms, service obligations, and deliverables.
- Ensure agreements align with company policies.
6. Risk Assessment
- Identify unusual clauses.
- Flag high liabilities.
- Highlight indemnity, confidentiality, intellectual property, exclusivity, and arbitration clauses.
- Report risks to management before execution.
7. Reporting
- Prepare contract summary reports.
- Maintain compliance dashboards.
- Submit monthly contract status reports.
- Track pending agreements.
Required Skills
- Excellent English reading and comprehension.
- Strong analytical skills.
- Ability to understand commercial contracts.
- Knowledge of basic Indian Contract Act principles.
- Understanding of confidentiality, NDAs, and MoUs.
- Good documentation and record-keeping.
- Strong communication skills.
- Microsoft Excel, Word, PowerPoint.
- Attention to detail.
- Ability to coordinate with advocates and consultants.
Preferred Qualifications
- Bachelor's degree in Law (LLB preferred but not mandatory), B.Com, BBA, MBA, or related field.
- 2–5 years of experience in contract administration, compliance, procurement, administration, HR, or commercial operations.
- Experience reviewing business agreements is preferred.
Pay: ₹6,000.00 - ₹12,000.00 per month
