Role Definition
The Manager – CS will be responsible for leading IPO-related secretarial functions, including due diligence, DRHP drafting, regulatory compliance, and stakeholder coordination, while ensuring adherence to SEBI regulations and managing team performance.

Tasks & Activities
1. IPO Execution & Due Diligence
· Lead preparation of Initial Due Diligence Reports (IDD) within defined timelines
· Assess eligibility as per NSE/BSE/SEBI norms and analyze business, legal, and promoter background
· Oversee identification of applicable laws, pre-IPO structuring, and regulatory requirements
· Ensure accuracy in promoter classification, trademark, demat, and legal due diligence processes
2. DRHP Drafting & Regulatory Compliance
· Lead drafting and finalization of DRHP (excluding FRA sections) in line with ICDR, LODR, and Companies Act
· Review and derive insights from peer DRHPs and regulatory updates
· Ensure timely submission of DRHP to stock exchanges post client approval
· Track exchange queries and ensure responses are submitted within stipulated timelines
· Oversee completion of pre-issue and post-issue compliance and documentation
3. Review, Supervision & Quality Control
· Review and validate work of Assistant Managers and CS trainees including SOPs, documentation, and reports
· Ensure completeness of checklists, proper filing (soft & hard copies), and adherence to processes
· Review meeting minutes, track pending items, and ensure timely closures
· Maintain high standards of accuracy and compliance across all deliverables
4. Stakeholder Management & Coordination
· Coordinate with clients, PCS, legal advisors, and other intermediaries
· Lead meetings, ensure clear communication, and drive actionable outcomes
· Oversee preparation and review of Minutes of Meetings (MOMs)
· Ensure structured communication through formal channels (Email/Phone/Group updates) and timely follow-ups
5. Team Leadership, Training & Reporting
· Conduct weekly training sessions for trainees and Assistant Managers
· Mentor team members and provide continuous feedback for improvement
· Ensure timely daily reporting on IDD status, drafting progress, and query tracking
· Monitor and ensure effective usage of Bitrix24 for task tracking and planning
· Take ownership of projects and ensure timely execution with team support
Education
Company Secretary (CS) – Qualified
Experience
· 3-4 years of experience in IPOs, secretarial compliance, or capital markets
· Strong knowledge of ICDR, LODR, ROC compliances, and Companies Act
· Experience in DRHP drafting, due diligence, and end-to-end IPO execution
· Proven experience in team management, stakeholder coordination, and review of deliverables
Pay: ₹800,000.00 - ₹1,000,000.00 per year
