Technology Transformation - A&M helps clients create a scalable, cost-effective IT function that delivers the company's strategic vision and priorities.
How you will contribute
As a Manager in the Technology M&A team, you will lead and drive the technical evaluation, planning, and execution of IT-focused workstreams across the M&A lifecycle. Your responsibilities will include IT due diligence, integration planning, and separation (carve-out) execution. You will work closely with clients (corporate or private equity), cross-functional deal teams, and technical stakeholders to identify technology risks and value levers, recommend strategies, and deliver roadmaps for tech integration or separation.
Key Responsibilities
Pre-Deal / Due Diligence
Lead technology due diligence for buy-side and sell-side engagements: assess the target’s IT organization, applications, infrastructure, cloud, data, cybersecurity, and technology maturity.
Identify and evaluate technology risks, technical debt, hidden costs, and integration complexity.
Develop detailed deliverables: data request lists, interview guides, agendas, architecture assessments, cost models, synergies, transition service agreement (TSA) schedules, integration or separation roadmaps.
Estimate IT cost transformation opportunities, synergies, and post-deal investments.
Synthesize and present findings to executive stakeholders (both technical and business), providing actionable recommendations.
Support the proposal process: define scope, pricing, and resource plans for prospective clients. Post-Deal / Integration & Separation
Lead post-merger IT integration or carve-out separation programs
For carve-outs, define and manage the “IT Separation Management Office”; for integrations, drive the “IT Integration Management Office” (IMO).
Define and design the target IT operating model, including organizational structure, governance, processes, and systems alignment.
Develop and maintain program governance artifacts: project plan, status dashboards, risk & issue logs, resource plans.
Lead initiative to disentangle and rationalize systems, cloud infrastructure, vendor contracts, and service delivery (outsourcing/offshoring) where relevant.
Ensure smooth “Day 1” readiness: design day-zero run-rates, TSA (if any), and operating model handover.
Mentor junior team members, providing technical and project leadership, knowledge sharing, and quality control of deliverables.
Client Engagement & Business Development
Serve as a trusted advisor to client C-level and senior stakeholders on technology risks, dependencies, and opportunities in M&A.
Contribute to business development efforts — help shape proposals, estimate effort, define offering differentiators, and identify cross-sell opportunities.
Stay up to date with trends in M&A technology (cloud, data center, cyber, SaaS) and integrate best practices into client engagements.
Qualifications
6+ years of experience in IT / technology consulting, transaction advisory, or consulting with significant exposure to M&A.
Deep experience in IT due diligence (pre-deal) and post-deal integration or separation. (Big 4 or strategy consulting preferred.)
Proven track record of managing cross-functional teams on complex M&A technology engagements.
Good understanding of enterprise applications (on-prem, cloud), infrastructure (data centers, cloud), data architecture, and cybersecurity.
Familiar with vendor management, outsourcing/offshoring, and IT operating models.
Experience with integration patterns, carve-out strategies, TSA design, and technology road mapping.
Ability to build and analyze cost models, synergy estimates, and IT financial projections.
Experience in benchmarking, risk quantification, and value-creation analysis.
Strong program management capabilities: planning, governance, risk management.
Excellent communication skills (written and verbal), able to interact with senior stakeholders (technical and business).
Bachelor’s degree in computer science, Information Systems, Engineering, or a related field. (MBA or advanced degree is a plus.)
