Job Responsibilities
The Company Secretary will oversee the corporate governance, secretarial, and regulatory compliance functions for the company and its numerous Special Purpose Vehicles (SPVs), subsidiaries, and joint ventures. This role is critical in ensuring seamless project-level legal structuring, managing high-volume compliance, handling project finance documentations, and mitigating regulatory risks unique to the real estate development sector.
1. SPV, Subsidiary & Joint Venture Management
- Manage the secretarial operations of a multi-tiered corporate structure, including dozens of project-specific SPVs, subsidiaries, and associates.
- Oversee compliance for Joint Development Agreements (JDAs) and Joint Ventures (JVs) with landowners and financial partners.
- Handle the incorporation, restructuring, or dissolution of project-specific entities as projects launch or close out.
2. Sector-Specific Regulatory Compliance
- Coordinate closely with the Legal and Liaison teams to ensure corporate compliance with RERA (Real Estate Regulatory Authority) filings, advertisements, and disclosures.
- Ensure all corporate actions align with local land laws, municipal regulations, and environmental clearance mandates.
3. Charge Management & Project Financing
- Manage the registration, modification, and satisfaction of Charges with the Registrar of Companies (RoC) or relevant authority for construction finance, term loans, and Non-Convertible Debentures (NCDs).
- Review and execute secretarial documentation required by banks, private equity investors, and financial institutions for project funding.
4. Board Management & Investor Relations
- Organize and conduct Board, Committee, and Shareholder meetings for the parent company and all active SPVs.
- Manage relationships and reporting compliance for institutional investors, venture funds, or private equity partners co-investing in specific real estate projects.
5. Due Diligence & Corporate Restructuring
- Facilitate secretarial due diligence during land acquisitions, corporate audits, or potential public listings (IPO / REIT listings).
- Ensure meticulous maintenance of statutory registers, land titles, corporate records, and share allotment data.
Experience of - Deep familiarity with RERA regulations, land-pooling compliance, and private equity funding structures in real estate.
