Position Overview

The Compliance Manager will be responsible for managing corporate, legal, and financial compliance across the organization, with a strong focus on corporate governance and regulatory adherence. The role requires a dual qualification of Company Secretary (CS) and CA Inter, along with at least 5 years of experience in compliance, company secretarial work, and accounting functions. This position is critical to maintaining MSM Unify’s legal, ethical, and financial integrity.

Key Responsibilities

1. Compliance Management

Ensure organization-wide compliance with the Companies Act, FEMA, SEBI regulations, and other statutory requirements.
Conduct and support board meetings, including agenda preparation, minutes drafting, and maintenance of statutory registers and records.
Manage filing of statutory forms with MCA, including annual returns, financial statements, and event-based filings.
Track and ensure timely renewals of licenses, agreements, and regulatory approvals.
Maintain legal and regulatory documentation with accurate, up-to-date records.
Conduct internal compliance audits and ensure adherence to organizational policies and external regulations.

2. Corporate Governance

Advise senior management on best practices in corporate governance and regulatory frameworks.
Support drafting, reviewing, and implementing internal policies and SOPs.
Manage the company’s secretarial and governance framework to ensure transparency and accountability.

3. Financial Management and Taxation

Assist in maintaining and finalizing monthly and annual accounts and financial statements.
Oversee direct and indirect tax compliance and ensure accurate and timely tax filings.
Support statutory audits and coordinate with auditors for smooth and timely completion.
Review accounts payable and receivable and monitor accuracy of financial records.
Manage banking operations, reconciliations, and fund management activities.

4. Risk Management

Identify potential legal, regulatory, and financial compliance risks and propose mitigation strategies.
Conduct periodic compliance and risk audits and recommend corrective and preventive actions.

5. Stakeholder Management

Liaise with regulatory authorities, external consultants, auditors, and other stakeholders on compliance matters.
Provide regular compliance updates and advisory inputs to senior management and leadership teams.

Qualifications and Experience

Education: Company Secretary (CS) + CA Inter (Mandatory).
Experience: Minimum 5 years in compliance, company secretarial roles, and accounting functions.
Industry Preference: Experience in EdTech, services, or a corporate environment is preferred.
Strong knowledge of the Companies Act, SEBI guidelines, FEMA, and other applicable laws and regulations.
Proficiency in accounting software such as Tally, Zoho Books, etc., and MS Office (Excel, Word, PowerPoint).
Excellent communication, negotiation, and interpersonal skills, with strong analytical and problem-solving abilities.
