Job Title: Company Secretary (CS)

Job Summary:
The Company Secretary (CS) is responsible for ensuring the company complies with all statutory, legal, and regulatory requirements. The CS advises the Board on corporate governance, maintains statutory records, manages board meetings, and ensures timely filing of all statutory documents.
Key Responsibilities:
- Ensure compliance with the Companies Act, SEBI regulations (if applicable), and other statutory requirements.
- Organize Board Meetings, Committee Meetings, and Annual General Meetings (AGMs).
- Maintain statutory registers, records, and company documents.
- File annual returns, ROC forms, and other statutory filings within prescribed timelines.
- Advise the Board on corporate governance and legal compliance matters.
- Draft legal documents, agreements, and corporate policies.
- Monitor changes in corporate laws and ensure timely implementation.
- Assist in due diligence, mergers, acquisitions, and restructuring activities when required.
Qualifications:
- Qualified Company Secretary (Member of ICSI).
- Bachelor's degree in Commerce, Law, or a related field (preferred).
- 2–8 years of relevant experience (or as required).
Required Skills:
- Strong knowledge of the Companies Act, corporate laws, and regulatory compliance.
- Excellent drafting and documentation skills.
- Strong communication and interpersonal abilities.
- High attention to detail and organizational skills.
- Proficiency in MS Office and compliance/secretarial software.
