1. Key Responsibilities:
1. Corporate Governance
- Ensure compliance with the Companies Act, 2013 and other applicable corporate laws across infrastructure group entities.
- Advise the Board on governance practices, legal obligations, and compliance frameworks.
- Organize and manage Board Meetings, Committee Meetings, and General Meetings
- Facilitate effective decision-making through robust governance processes and documentation
2. Legal & Regulatory Compliance
- Monitor changes in the Companies Act, 2013 and other applicable corporate laws and ensure organizational compliance
- Ensure adherence to Secretarial Standards issued by the Institute of Company Secretaries of India (ICSI)
- Develop and implement compliance frameworks and internal controls across group companies
- Oversee timely filing of statutory returns and documents with regulatory authorities such as MCA
3. Communication & Record Management
- Maintain statutory registers and records including members, directors, charges, and other corporate records
- Manage communication with shareholders, regulators, and key stakeholders
- Ensure accurate documentation of company decisions, resolutions, and corporate actions
- Safeguard custody of key legal documents including incorporation records, MoA, AoA, and company seal.
4. Corporate Secretarial Functions
- Draft resolutions, Board minutes, and governance documentation
- Provide advisory support on company law matters and corporate governance issues
- Manage shareholding-related activities including issuance, transfer, and dividend processes
5. Corporate Transactions
- Prepare and review documentation for mergers, acquisitions, joint ventures, restructuring, and other corporate actions of group companies.
- Conduct due diligence and ensure compliance with corporate legal requirements during transactions
- Coordinate with legal advisors, auditors, and internal stakeholders across group entities.
2. Requirement:
Experience
- 3-4 years of post-qualification experience
- Strong exposure to the Companies Act, 2013 and secretarial standards
- Experience handling multiple group entities, including infrastructure or project-based companies, will be an advantage
