Key Responsibilities
1. Statutory & Regulatory Compliance
- Ensure compliance with the Companies Act, 2013, FEMA, and other relevant laws.
- Maintain statutory registers, records, and filings for the parent company and subsidiaries.
- File annual returns, board resolutions, and other ROC submissions on time.
- Monitor changes in legislation and advise management on implications.
2. Board & Committee Support
- Organize Board Meetings, Committee Meetings, and General Meetings.
- Draft agendas, circulate notices, prepare minutes, and track action items.
- Advise directors on duties, responsibilities, and governance practices.
3. Subsidiary Management
- Coordinate compliance and governance across subsidiary companies.
- Standardize reporting and ensure uniform governance practices.
- Act as liaison between parent and subsidiaries for legal and compliance matters.
4. Corporate Governance & Advisory
- Develop and implement corporate governance policies.
- Advise management on shareholding structures, capital raising, and restructuring.
- Support in drafting shareholder agreements, contracts, and legal documentation.
Qualifications & Experience
- Member of the Institute of Company Secretaries of India.
- 2–3 years of experience in corporate governance and compliance, preferably in group structures.
- Strong knowledge of Companies Act, FEMA, and corporate governance frameworks.
- Excellent drafting, communication, and advisory skills.
Pay: ₹60,000.00 - ₹80,000.00 per month
