A renowned consulting firm is scaling up its Transaction Structuring practice and is on the lookout for a senior CA to step into a leadership role — someone who can steer complex deal advisory work, mentor a growing team, and play an active part in shaping the practice's next phase of growth.
This isn't a support role. It's built for someone who can take ownership end-to-end — from structuring the deal to signing off on the final deliverable — while also thinking ahead about where the practice needs to go next.
Core Responsibilities
Deal Structuring & Execution
- Take charge of multiple live engagements spanning M&A, demergers, business transfers, acquisitions, shareholder exits, fund repatriation, pre-IPO restructuring, and both domestic and cross-border reorganisations — approached primarily through a tax and regulatory lens
- Guide clients on structuring choices while factoring in the Income Tax Act, Companies Act, FEMA, Stamp Duty, SEBI norms, and IND AS considerations
- Be the final checkpoint for accuracy, quality, and turnaround time on client deliverables
- Bring strong ideation to the table — spotting the right structure and seeing it through to execution will be central to how success is measured in this role
Cross-Border Tax Advisory
- Take the lead on international advisory matters — treaty interpretation, permanent establishment exposure, withholding on dividends/royalties, and immigration-linked tax planning
- Drive India-US structuring conversations, including CFC/PFIC considerations, foreign tax credit planning, and residency/source rules
- Own India-UAE structuring mandates — holding company setups, UAE Free Zone entities, and other efficient vehicles, using domestic exemptions to optimize group-level outcomes
Equity & ESOP Advisory
- Advise on equity compensation structures — ESOPs, RSUs, SARs, phantom stock — covering the full lifecycle from tax treatment and TDS to trust mechanics and plan design for pre-IPO/PE-backed companies
Practice Building
- Champion the use of AI tools to streamline advisory workflows, including involvement in designing or commissioning such systems
- Take an active role in business development and practice expansion
- Build the firm's external profile — speaking at forums, contributing thought-leadership pieces, and hosting client-facing sessions on key advisory themes
Pay: ₹3,000,000.00 - ₹5,000,000.00 per year
