About the Role
We are looking for a qualified and detail-oriented Company Secretary (CS) to manage the company's statutory compliance, corporate governance, secretarial activities, and regulatory requirements.
The ideal candidate should have strong knowledge of the Companies Act, 2013, MCA/ROC filings, corporate governance, statutory records, and board processes, along with excellent communication and organisational skills.
Key Responsibilities
- Ensure compliance with the Companies Act, 2013, applicable rules, and Secretarial Standards.
- Manage and coordinate Board Meetings, Committee Meetings, AGM and EGM.
- Prepare notices, agendas, resolutions, minutes and other meeting-related documents.
- Maintain statutory registers, records, minutes books and corporate documentation.
- Prepare and file statutory forms, returns and documents with MCA/ROC within prescribed timelines.
- Monitor statutory and regulatory compliance and maintain a compliance calendar.
- Advise the Board and senior management on corporate governance and legal compliance matters.
- Coordinate with auditors, legal professionals, consultants and regulatory authorities.
- Handle incorporation, changes in directors, share capital, charges and other corporate actions.
- Assist in preparation of Annual Return, Board's Report and other statutory documents.
- Track changes in corporate laws and regulations and communicate their impact to management.
- Ensure proper documentation and implementation of Board decisions.
- Maintain confidentiality of sensitive corporate, financial and legal information.
- Support due diligence, agreements, corporate restructuring and other legal/secretarial assignments when required.
Required Qualifications
- Qualified Company Secretary (CS) from ICSI.
- Bachelor's degree in Commerce, Law, Business Administration or a related field preferred.
- Strong knowledge of the Companies Act, 2013 and MCA/ROC compliance.
- Working knowledge of corporate governance and secretarial procedures.
- Experience with MCA portal and statutory filings will be preferred.
- Knowledge of SEBI/FEMA/RBI regulations will be an advantage, depending on the company's business.
