Role Overview
The Corporate Lawyer will be responsible for managing the company’s corporate,
commercial, and contractual legal matters, ensuring compliance with applicable
laws while enabling business growth. This role acts as a strategic legal partner to
leadership and cross-functional teams, balancing risk management with business
practicality.
Key Responsibilities
- Corporate & Commercial Contracts● Draft, review, negotiate, and manage commercial contracts, including:○ Client agreements○ Vendor & supplier contracts○ Service agreements○ NDAs, MOUs, and SLAs● Ensure contracts are commercially sound, legally compliant, and alignedwith business objectives.● Maintain and manage the contract lifecycle, including renewals,amendments, and closures.
- Real Estate & Leasing (if applicable)● Draft and review lease agreements, leave & license agreements,amendments, and addendums.● Support legal due diligence for new properties, acquisitions, and expansions.● Liaise with external counsel on property-related registrations anddocumentation.
- Corporate Governance & Compliance● Ensure compliance with Companies Act, corporate governance norms, andstatutory filings.● Support board processes including resolutions, minutes, and shareholderdocumentation.● Track and manage statutory obligations, filings, and compliance calendars.
- Risk Management & Advisory● Identify legal risks and provide practical, business-friendly legal advice.● Support leadership in decision-making by evaluating legal implications ofnew initiatives.● Develop and enforce internal legal policies and standard operatingprocedures.
- Litigation & Dispute Management● Manage disputes, notices, and legal claims.● Coordinate with external counsels on litigation, arbitration, and regulatorymatters.● Track case status, documentation, and legal spend.
- Regulatory & Employment Law Support● Advise HR on employment law, labour compliance, disciplinary matters, andterminations.● Draft and review HR policies, employee contracts, and compliancedocumentation.● Ensure compliance with applicable labour laws and regulatory requirements.
- Stakeholder & Cross-Functional Collaboration● Work closely with Sales, Finance, Procurement, HR, and Operations teams.● Enable faster deal closures through standardisation of legal templates andplaybooks.● Act as the single point of contact for internal legal queries.Qualifications & Experience:● LLB (LLM preferred).● 4–8 years of experience in corporate legal roles (in-house or law firm).● Prior experience in real estate, infrastructure, hospitality, or coworking is aplus.● Strong exposure to contract drafting, negotiation, and compliance.Key Skills & Competencies:● Excellent drafting and negotiation skills.● Strong understanding of Indian corporate and commercial laws.● Ability to balance legal risk with business practicality.● Strong communication and stakeholder management skills.● High attention to detail with a solution-oriented mindset.
