Experience: 1–3 years of post-qualification experience in secretarial and compliance functions, preferably in a fintech, NBFC, broking firm, or financial services company
About the Role
We are looking for a qualified Company Secretary with hands-on experience in fintech or financial services compliance. You will be the single point of ownership for all secretarial, regulatory, and governance matters at Bondspe — working directly with the founding team and senior leadership.
Key Responsibilities
- Manage end-to-end compliance under the Companies Act, 2013, applicable rules, and Secretarial Standards issued by ICSI
- Ensure timely filing of statutory forms, returns, and documents with ROC, MCA, and other regulatory authorities
- Maintain and update all statutory registers, records, minutes of Board meetings, AGMs, and EGMs
- Manage all compliance obligations under SEBI regulations applicable to a registered intermediary — including SEBI (OBPP) Regulations, SEBI (Intermediaries) Regulations, and circulars
- Liaise with SEBI, BSE, depositories (NSDL/CDSL), and other regulatory bodies for filings, inspections, and correspondence
- Ensure compliance with KYC norms, AML/CFT guidelines, and investor grievance redressal mechanisms
- Handle all secretarial and compliance work related to fundraising — private placements, preferential allotments, rights issues, and convertible instruments
- Draft and review term sheets, shareholder agreements, investment agreements, and board resolutions related to funding rounds
- Ensure compliance with FEMA regulations for foreign investments and coordinate with RBI for FCGPR, FCTRS, and other FEMA filings
- Assist in due diligence processes for investors, auditors, and legal advisors
- Draft and review contracts, NDAs, vendor agreements, policies, and regulatory correspondence
- Advise the Board and founding team on corporate governance, legal obligations, and risk areas
- Manage ESOP compliance and employee equity-related documentation
Required Qualifications
Qualified Company Secretary — ACS or member of ICSI
Bachelor's degree in Law, Commerce, or Finance
LL.B. or CA Inter is a strong advantage
Required Skills
- Strong working knowledge of Companies Act 2013, SEBI Regulations, FEMA, RBI guidelines, and Secretarial Standards
- Hands-on experience with SEBI-registered intermediary compliance — OBPP, broker, or investment adviser regulations preferred
- Experience handling funding round compliances — private placement, FEMA filings, and cap table management
- Proficiency in MCA portal, SEBI intermediary portal, XBRL, and ROC filings
- Familiarity with cap table management tools and shareholder documentation
- Proficiency in MS Office and document management systems
- High attention to detail, strong deadline management, and ability to work independently
Good to Have
- Prior experience at a SEBI-registered Online Bond Platform Provider
- Exposure to startup fundraising and investor documentation
- Understanding of ESOP compliance and employee equity structures
- Experience with XBRL financial reporting
