Cliniqon is seeking a strategic, multi-disciplinary Legal & Data Privacy Officer to serve as our principal legal authority. In this high-impact role, you will oversee global data protection strategy, U.S. healthcare regulatory compliance, enterprise contract negotiations, and general corporate risk management.
Reporting directly to executive leadership, you will bridge U.S. health sector standards with offshore operations, defend organizational interests across customer disputes and collections, enforce employment contracts, and manage external litigation.
KEY RESPONSIBILITIES
1. Commercial Contracting & Strategic Transactions
- U.S. Client Contract Management: Draft, redline, and negotiate complex commercial agreements—including Master Services Agreements (MSAs), Statements of Work (SOWs), Business Associate Agreements (BAAs), and NDAs—directly with U.S. enterprise client counsel and C-suite leadership.
- Commercial Enablement & Playbooks: Develop and maintain Contract Negotiation Playbooks, standardized clause libraries, fallback positions, and redlining workflows to streamline business development cycles.
- Strategic Partnerships & Alliances: Lead legal due diligence, risk structuring, and contract execution for new business models, strategic alliances, joint ventures, and commercial expansion projects.
2. Healthcare Privacy & Cross-Border Compliance
- HIPAA Governance: Act as chief compliance lead for HIPAA Privacy, Security, and Breach Notification Rules across all client accounts, overseeing vendor assessments, BAAs, and privacy audits.
- Cross-Border Harmonization: Align U.S. federal and state privacy standards (e.g., HIPAA, state data privacy acts) with offshore regulations (e.g., Philippine Data Privacy Act RA 10173 / India DPDP Act) to ensure lawful, secure cross-border data transmission and processing.
- Incident & Risk Management: Establish data breach response protocols, lead incident investigation procedures, and handle mandatory regulatory reporting.
3. Employment, Enforcement & Internal Controls
- Workforce Documentation: Draft, review, and maintain employment contracts, contractor agreements, and onboarding packs—ensuring enforceable non-solicitation, confidentiality, IP assignment, and notice-period provisions.
- Employee Contract Enforcement: Issue formal claims, legal notices, and demand letters to enforce contractual notice periods, restrictive covenants, and employee obligations in coordination with HR and external counsel.
- Corporate Governance: Establish contract approval matrices, centralized repositories, and pre-commitment risk evaluation protocols to protect organizational assets.
4. Commercial Disputes, Collections & Litigation
- Customer Dispute Resolution: Manage client counter-demands, service-level (SLA) disputes, breach allegations, and payment withholdings to achieve favorable pre-litigation settlements.
- Collections & Debt Recovery: Collaborate with Finance and Collections teams to issue formal demands and enforce payment obligations on delinquent client accounts.
- Arbitration & External Counsel Management: Direct external legal counsel in domestic or international arbitration and litigation proceedings, overseeing strategy, filings, evidence gathering, and fee structures to align with commercial priorities.
QUALIFICATIONS AND COMPENTENCIES
Required:
- Juris Doctor (JD), Bachelor of Laws (LL.B.), or equivalent law degree with an active Bar membership in good standing.
- 5+ years of combined legal experience spanning commercial contract negotiation, healthcare compliance, and dispute resolution (including 3+ years handling U.S. law-governed contracts).
- Deep domain knowledge of HIPAA (Privacy, Security, Breach Notification) and practical experience negotiating complex BAAs.
- Proven track record of drafting legal demand letters, managing debt collections escalations, and directing external litigation/arbitration counsel.
- Solid understanding of cross-border data transfer mechanisms and offshore privacy frameworks (e.g., Philippines DPA, India DPDP Act).
- Excellent written and oral English negotiation skills suitable for high-stakes discussions with U.S. C-suite executives and external legal teams.
Preferred:
- Certified Information Privacy Professional / US (CIPP/US) or CIPP/E certification.
- Direct experience in healthcare BPO, revenue cycle management (RCM), or health-tech sectors.
Pay: ₹25,000.00 - ₹40,000.00 per month
