Job Summary:
Right Gold Private Limited is looking to hire a Company Secretary (CS) to handle corporate secretarial, legal, and compliance-related functions, including ROC/MCA filings, board and shareholder documentation, labour law compliances, contract drafting, and regulatory advisory. The role requires coordination across legal, finance, HR, and management teams to ensure overall statutory and regulatory compliance of the Company.
Experience:
- 2–4 years of relevant experience as a Company Secretary (CS), preferably in a Startup, Private Limited Company, Listed Company, law firm, or consultancy environment.
- Freshers may also apply, provided they have completed practical internship/training exposure in corporate secretarial, legal drafting, labour law, or compliance-related work.
- Candidates based in Delhi NCR will be preferred.
Key Responsibilities:
- Handling ROC and MCA compliances, including filings, annual compliances, event-based filings, and maintenance of statutory registers and records.
- Drafting and reviewing board resolutions, notices, agendas, minutes, shareholder resolutions, and corporate secretarial documentation.
- Assisting in drafting, reviewing, and vetting agreements, contracts, policies, NDAs, employment documents, and other legal documentation.
- Ensuring compliance under the Companies Act, 2013, FEMA, labour laws, and other applicable corporate laws and regulations.
- Coordinating with consultants, legal counsels, auditors, and regulatory authorities.
- Assisting in implementation and monitoring of labour code compliances, HR-related legal documentation, and internal compliance frameworks.
- Supporting due diligence, investment transactions, secretarial audits, and regulatory inspections, wherever applicable.
- Maintaining compliance trackers, licenses, registrations, and statutory records of the Company.
- Providing legal and compliance support to management on day-to-day operational matters.
Requirements:
- Qualified Company Secretary (CS) / Member of Institute of Company Secretaries of India preferred.
- Good working knowledge of the Companies Act, 2013, ROC/MCA compliances, and corporate laws.
- Basic understanding of labour laws, legal drafting, commercial documentation, and regulatory compliance frameworks.
- Strong drafting, analytical, communication, and coordination skills.
- Proficiency in MS Office and MCA/ROC filing systems.
- Ability to work independently and manage timelines effectively.
Pay: ₹20,000.00 - ₹40,000.00 per month
