Job description:
The Accounts Manager is responsible for managing the company’s end-to-end accounting and financial operations, ensuring statutory compliance, maintaining healthy cash flow, and coordinating with banks, auditors, and government authorities. The role requires accuracy, integrity, and timely financial reporting to support business decisions.
Key ResponsibilitiesCorporate Governance & Board Support
- Manage Meetings: Coordinate all Board, Committee, and Annual General Meetings (AGMs).
- Draft Materials: Formulate agendas, assemble supporting documentation, and author comprehensive meeting minutes.
- Advise Executives: Counsel directors on corporate governance principles, legal liabilities, and strategic duties.
- Enforce Directives: Monitor tracking systems to verify that Board policies are implemented enterprise-wide.
Regulatory & Statutory Compliance
- Handle Filings: Execute timely filings of financial statements, annual reports, and corporate modifications with regulatory portals like the Ministry of Corporate Affairs (MCA) or Companies House.
- Maintain Books: Supervise statutory registers, including shareholder equity records, director listings, and stock transfers.
- Monitor Legislation: Track changes in relevant local and international corporate law to update company policy proactively.
- Ensure Standards: Certify company actions follow all Secretarial Standards, Articles of Association, and internal charters.
Risk Management & Compliance Programs
- Create Frameworks: Develop and update ethical compliance programs, anti-bribery policies, and standard codes of conduct.
- Review Contracts: Audit corporate agreements, non-disclosure agreements (NDAs), and external vendor contracts for legal risk.
- Coordinate Audits: Lead periodic internal and external secretarial audits to address vulnerabilities.
- Liaise with Authorities: Act as the primary contact for regulatory inquiries from entities like SEBI, the SEC, or the RBI.
Shareholder & Capital Market Operations
- Manage Relations: Oversee communications regarding dividend declarations, stock updates, and shareholder rights.
- Capital Transactions: Handle regulatory aspects of capital structures, share transfers, and equity distributions.
- Lead Transactions (Where Applicable): Coordinate documentation and approvals for complex maneuvers like M&A, capital restructuring, or an Initial Public Offering (IPO).
- Candidate Profile & Requirements
- Education: Bachelor’s degree in Law (LL.B.), Corporate Governance, Business Administration, or Finance.
- Certification: Active membership or professional qualification as a certified Company Secretary (e.g., from the Institute of Company Secretaries of India (ICSI) or CGI).
- Experience: Typically requires 3 to 7+ years of experience in corporate secretarial and compliance roles, depending on company scale.
- Domain Knowledge: deep familiarity with regional Companies Acts, local securities exchange guidelines, and corporate frameworks.
Pay: ₹50,000.00 - ₹75,000.00 per month
