Job Summary
We are looking for a qualified and detail-oriented Company Secretary (CS) to manage corporate secretarial, ROC, and regulatory compliance matters for clients. The ideal candidate should have strong knowledge of the Companies Act, 2013, MCA compliances, and corporate governance, along with excellent communication and drafting skills.
Key Responsibilities
- Manage company incorporation, LLP incorporation, and closure of entities.
- Prepare and file MCA forms including AOC-4, MGT-7/MGT-7A, DIR-3 KYC, DPT-3, ADT-1, PAS-3, SH-7, and other statutory forms.
- Draft Board Meeting notices, agendas, minutes, and resolutions.
- Maintain statutory registers, minute books, and company records.
- Ensure compliance with the Companies Act, 2013, LLP Act, FEMA, and SEBI regulations (where applicable).
- Handle annual ROC filings and ensure timely statutory compliance.
- Assist clients with share allotments, transfers, increase in authorized capital, and other corporate actions.
- Conduct due diligence, secretarial audits, and compliance reviews.
- Liaise with MCA, ROC, government authorities, and clients regarding compliance matters.
- Assist in drafting legal documents, agreements, and corporate policies.
- Monitor compliance calendars and ensure timely filing of returns.
- Support Partners and senior management in corporate restructuring, mergers, acquisitions, and other advisory assignments.
- Provide secretarial compliance support to multiple clients simultaneously.
Experience
- 2–5 years of experience in a CA Firm, CS Firm, or Corporate Secretarial Department.
Required Skills
- Strong knowledge of the Companies Act, 2013 and LLP Act.
- Hands-on experience with the MCA V3 Portal and ROC filings.
- Knowledge of corporate governance and secretarial standards.
- Good drafting and documentation skills.
- Excellent communication and client-handling abilities.
- Proficiency in MS Office (Word, Excel, PowerPoint).
- Ability to manage multiple deadlines with attention to detail.
- Strong analytical and problem-solving skills.
Preferred Skills
- Knowledge of FEMA compliances and RBI filings.
- Exposure to Secretarial Audit, Due Diligence, and Corporate Restructuring.
- Familiarity with startup and investor compliance.
- Working knowledge of GST, Income Tax, and Labour Law compliances is an added advantage.
