- Key Responsibilities
- Legal Strategy Advisory
- Serve as the primary legal advisor to the CEO, Board, and senior leadership on all corporate, contractual, regulatory, and compliance matters.
- Develop and implement a global legal strategy aligned with the companys business objectives and risk appetite.
- Provide clear, practical, and timely counsel to internal stakeholders on diverse legal issues.
- Corporate Governance
- Ensure compliance with corporate laws, board governance practices, and regulatory filings.
- Draft, review, and maintain corporate policies, charters, and board resolutions.
- Support board meetings, AGMs, and maintain statutory records.
- Contracts Transactions
- Oversee drafting, review, and negotiation of commercial contracts, joint venture agreements, institutional MOUs, NDAs, and vendorservice contracts.
- Manage legal aspects of cross-border transactions, partnerships, and MA activities.
- Ensure favorable terms and mitigate risks in all agreements.
- Risk Management Compliance
- Identify potential legal risks, develop mitigation strategies, and implement internal controls.
- Ensure compliance with data privacy laws e.g., GDPR, Indian IT Act, labor laws, intellectual property laws, and international trade regulations.
- Lead legal due diligence and respond to regulatory audits or investigations.
- Disputes Litigation
- Manage and oversee all litigation, arbitration, and dispute resolution matters involving the company.
- Coordinate with external counsel and monitor progress of legal proceedings.
- Leadership Team Development
- Build and lead the in-house legal and compliance team.
- Foster a strong culture of ethics, compliance, and transparency across the organization.
- Provide training and awareness sessions to employees on key legal and compliance topics.
- Qualifications
- LLB,LLM from a reputed law school company secretary CS qualification is an added advantage.
- Minimum 15 years of progressive experience in corporate legal, compliance, and governance roles, with at least 5 years in a senior leadership position.
- Experience in handling legal functions for multinational organizations or technology-driven businesses preferred.
- Strong knowledge of Indian corporate laws, international contracts, cross-border regulations, and dispute resolution mechanisms.
