- Meeting Management: Organize board/committee meetings, set agendas, distribute materials, attend, take accurate minutes, and ensure proper notice is given.
- Corporate Governance: Advise the board on compliance, best practices, legal/regulatory requirements, and fiduciary duties.
- Record Keeping: Maintain statutory registers (members, directors), official records, bylaws, and ensure confidentiality.
- Communication: Serve as a central point of contact between directors, shareholders, and external parties, managing correspondence and information flow.
- Administrative Support: Handle scheduling, travel, reports, presentations, and general office tasks for directors.

Essential Skills & Qualifications:
- Skills: Excellent organization, time management, communication (written/oral), discretion, attention to detail, and interpersonal skills.
- Knowledge: Understanding of corporate law, regulations, and governance principles.
- Education: Often a degree in Business Administration or a related field, plus relevant experience.
