About the Role
We are seeking an experienced and dynamic Company Secretary & Compliance Officer to lead the secretarial, corporate governance, regulatory compliance, and stock exchange compliance functions of a BSE-listed stock broking company. The ideal candidate must possess hands-on experience in the stock broking industry and have an in-depth understanding of the regulatory framework governing listed entities, stock brokers, and capital market intermediaries.
Key Responsibilities
Secretarial & Stock Exchange Compliance
- Act as the Company Secretary and Compliance Officer
- Organize and manage Board Meetings, Committee Meetings and General Meetings.
- Ensure timely compliance with BSE Listing Regulations.
- Handle quarterly, half-yearly and annual compliances.
- Coordinate with stock exchanges for approvals relating to corporate actions
Stock Broking Regulatory Compliance
- Ensure compliance with regulations issued by:
- SEBI
- BSE
- NSE
- Clearing Corporations
- Depositories
- Liaise with regulatory authorities during inspections and audits.
- Monitor regulatory circulars and implement changes across the organization.
- Coordinate internal, concurrent and regulatory audits.
Eligibility Criteria
- Qualified Company Secretary (ICSI Membership mandatory).
- Minimum 2–5 years of post-qualification experience.
- Mandatory experience in a Stock Broking Company.
- Experience in a BSE-listed company is mandatory; experience with an entity listed on both BSE and NSE will be an added advantage.
- Prior experience as Company Secretary/Compliance Officer of a listed entity will be preferred.
- Experience in listed stock broking and capital market companies
