About the Role
The Company Secretary will be responsible for ensuring compliance with all applicable corporate laws, regulations, and governance requirements relating to the Company's operations in India. The role will act as a trusted advisor to the Board of Directors, executive leadership, and global stakeholders maintaining corporate governance, legal entity management, statutory filings, and regulatory compliance.
The successful candidate will be proactive and highly organised and have deep expertise in Indian corporate law, company secretarial practices, board governance, and regulatory frameworks, together with the ability to operate effectively within a fast-paced, highly regulated, multinational MedTech environment
Responsibilities
Corporate Governance & Board Support

Serve as the Company Secretary for the Company's Indian legal entities.

Organize, attend, and minute Board, Committee, and Shareholder Meetings.

Ensure compliance with the Companies Act, 2013 and all related rules and regulations.

Advise Directors and senior leaders on governance obligations, fiduciary duties, and regulatory requirements.

Proactively identify upcoming governance requirements, regulatory deadlines, and emerging compliance risks, ensuring the business remains ahead of its obligations and industry best practices.

Maintain corporate records, statutory registers, resolutions, and governance documentation.

Coordinate director appointments, resignations, evaluations, declarations, and related statutory filings.

Anticipate governance requirements, regulatory deadlines, and compliance risks to ensure the business remains ahead of its obligations.
Regulatory & Statutory Compliance

Ensure timely and accurate filing of statutory returns, annual reports, and corporate disclosures with the Ministry of Corporate Affairs (MCA) and other regulators.

Monitor regulatory developments, assess business impact, and drive implementation of required actions.

Oversee compliance certifications, governance reporting, and corporate compliance audits.

Promote governance best practices and continuous improvement across the organisation
Legal Entity Management

Manage the full lifecycle of Indian legal entities, including incorporations, restructuring activities, capital changes, and liquidations.

Maintain accurate legal entity records and corporate documentation.

Coordinate governance matters with Legal, Finance, Tax, Compliance, and other stakeholders, ensuring actions are tracked and completed on time.
Compliance & Risk Management

Partner with Legal, Finance, HR, Quality, and Compliance teams to strengthen governance frameworks.

Support implementation and monitoring of compliance policies and procedures.

Identify governance and compliance risks and recommend mitigation strategies.

Assist with whistleblower, ethics, and corporate compliance initiatives where required.
Stakeholder Management

Act as a key liaison between Indian leadership, directors, external counsel, auditors, regulators, and the UK headquarters.

Build trusted relationships with internal and external stakeholders.

Provide governance training and awareness programs to directors and management teams.
Strategic Projects

Support strategic initiatives including acquisitions, investments, funding rounds, joint ventures, and integration activities.

Assist in corporate governance matters relating to international expansion and organizational growth.

Identify opportunities to streamline processes, improve governance controls, and enhance operational efficiency.
Wed expect you to be willing to turn your hand to anything within the Legal remit that helps the team deliver its objectives.
About you
To be successful in this role, youll need to have/be:
- Qualified Company Secretary (ACS/FCS) and member in good standing with the Institute of Company Secretaries of India (ICSI).

Bachelor's degree in Law, Commerce, Business Administration, Finance, or related discipline.

510 years of progressive company secretarial and corporate governance experience.

Experience supporting Boards and senior executives in a multinational organization.

Ability to work independently, manage competing priorities, and proactively drive activities to completion

Fluent English language skills
Preferred
-
Experience within MedTech, healthcare, pharmaceuticals, life sciences, medical devices, or other regulated industries.

Additional legal qualification (LLB) desirable.

Experience working with UK, European, or other multinational governance structures.

Exposure to venture-backed, publicly listed, or high-growth technology organizations.

Knowledge of medical device regulatory environments and compliance frameworks.
