Associate/Analyst (M&A) - Role Description & Responsibilities
Reports to: Controller
Eclat Health Solutions is a rapidly growing healthcare services and technology company serving healthcare providers across the United States. Backed by institutional investors and led by an entrepreneurial leadership team with experience building and scaling businesses across healthcare, technology, and other sectors, the company is actively pursuing strategic growth initiatives including acquisitions, capital allocation, operational transformation, and technology-enabled expansion.
This role provides direct exposure to senior leadership and the full M&A transaction lifecycle, including deal screening, valuation, financial modeling, due diligence, transaction structuring, negotiation support, and closing. The successful candidate will work on live acquisition opportunities and strategic investments while developing the analytical and transaction execution skills typically associated with investment banking, private equity, and corporate development. The role will be based in Mumbai, with travel to Hyderabad and other locations on an as-needed basis.

Evaluate acquisition and strategic investment opportunities across healthcare services and technology sectors.

Review CIMs, management presentations, financial statements, business plans, and other transaction materials to identify key value drivers and risks.

Support the full transaction process from initial screening and valuation through LOI, due diligence, transaction documentation, signing, and closing.

Coordinate transaction workstreams across management teams, investment bankers, accounting advisors, legal counsel, lenders, and other external advisors.

Track diligence findings, open items, transaction risks, and key decision points throughout live transactions.

Prepare acquisition summaries, investment memoranda, executive updates, and materials for senior management and Board discussions.

Build and maintain detailed financial models, including historical analysis, projections, transaction scenarios, and sensitivity analyses.

Perform valuation analyses using comparable companies, precedent transactions, discounted cash flow, and transaction multiple methodologies.

Analyze revenue growth, margins, customer concentration, working capital, cash flow, and other operating and financial drivers.

Assess purchase price scenarios, transaction returns, funding requirements, earn-outs, deferred consideration, and potential synergies.

Support financial analysis used to evaluate strategic alternatives and investment decisions.

Support financial, commercial, operational, technology, tax, and legal due diligence during live transactions.

Coordinate information requests and data-room follow-ups with internal teams, sellers, bankers, and external advisors.

Synthesize diligence findings into concise management-level conclusions, highlighting key risks, opportunities, and items requiring negotiation or further analysis.

Conduct industry, market, competitor, and target-company research to support investment decisions and deal origination.

Analyze strategic fit, growth opportunities, operational improvements, and potential revenue and cost synergies.

Support post-acquisition integration tracking, synergy reporting, and performance-to-investment-case analysis following close.

relevant experience in Investment Banking, M&A Advisory, Capital Markets, Transaction Advisory, Private Equity, Corporate Development, or a similar transaction-focused role

Strong financial modeling, valuation, accounting, and financial statement analysis skills

Advanced proficiency in Microsoft Excel and PowerPoint, with the ability to prepare senior-management-ready analysis and presentations

Strong analytical and problem-solving skills with the ability to independently work through complex financial and transaction-related information

High ownership mindset, attention to detail, intellectual curiosity, and ability to manage multiple priorities in a fast-paced environment

MBA / PGDM in Finance, CA, CFA, or equivalent qualification preferred; prior healthcare or technology-enabled services experience is advantageous but not required
This role is designed for someone who wants hands-on exposure to live M&A transactions and direct interaction with senior leadership. We are looking for a highly analytical candidate who can move comfortably between detailed financial analysis and broader commercial judgment, take ownership of transaction workstreams, and grow into a long-term member of the M&A practice.
