A company secretary is a vital link between the company and its Board of Directors, shareholders, government and regulatory authorities.
Roles and Responsibilities:
- Oversee corporate governance practices and ensure compliance with statutory and regulatory requirements
- Organise and manage board meetings, including preparing agendas, minutes, resolutions and assign action tasks
- Maintaining the statutory registers including the register of members.
- Ensuring that statutory forms are filled promptly
- Custody and use of the company seal.
- Liaise with external advisors and vendors as may be necessary
Other Duties:
To ensure that meetings comply with the organisation governing document and its procedures
To maintain records including past and present office bearers
To ensure that publications such as annual reports and accounts, and their dissemination, comply with the organizations governing document and statutory requirements.
To keep under review all legislative, regulatory and governance developments that might affect decision making or organization operations
Required skill set:
- A minimum of 1-2 years of work experience in a similar role, preferably in a large or diversified organisation
- In-depth knowledge of Companies Act and working knowledge of commercial contracts
- Knowledge of regulatory compliance, corporate governance, and the legal aspects of business operations
- Excellent drafting and communication skills
- Strong attention to detail and analytical skills
- Ability to manage multiple tasks and meet deadlines effectively
- Ability to work independently and collaborate within a team
- High ethical standards and a strong sense of professional responsibility
- Strong interpersonal skills and ability to work at all levels within the organisation
