Job Summary
We are looking for an experienced and qualified Company Secretary (CS) to manage corporate secretarial matters, statutory compliance, SEBI regulations, ROC filings, and corporate governance requirements. The candidate should preferably have experience working with listed companies and handling compliance with BSE/NSE regulations.
Key Roles & Responsibilities
- Ensure compliance with the Companies Act, SEBI Regulations, Listing Regulations, and other applicable laws.
- Handle all ROC/MCA filings and statutory compliances.
- Manage quarterly, half-yearly, and annual compliances for listed companies.
- Conduct and coordinate Board Meetings, Committee Meetings, Annual General Meetings (AGM), and General Meetings.
- Prepare agendas, notices, resolutions, minutes, and other statutory documents.
- Handle communication and compliance requirements with BSE, NSE, Depositories, and other regulatory authorities.
- Manage corporate actions, including allotment of shares, dematerialization, ESOP, preferential issues, private placement, and related matters.
- Handle listing, trading, and in-principle approvals from Stock Exchanges.
- Assist in drafting the Annual Report and other corporate and statutory documents.
- Ensure compliance related to SEBI Regulations and Listing Obligations.
- Handle FLA Return with RBI, wherever applicable.
- Coordinate with internal auditors, statutory auditors, secretarial auditors, legal consultants, and other stakeholders.
- Maintain statutory registers, records, and corporate documentation.
- Provide secretarial and compliance support to the management and Board of Directors.
Required Skills & Competencies
- Strong knowledge of Companies Act, Corporate Laws, SEBI Regulations, and Listing Regulations.
- Experience in handling listed company compliances.
- Strong knowledge of ROC/MCA filings.
- Excellent drafting and documentation skills.
- Experience in conducting Board and General Meetings.
- Knowledge of corporate actions and depository-related processes.
- Good communication and coordination skills.
- Ability to work independently and manage multiple compliance deadlines.
- Proficiency in MS Office (Word, Excel & PowerPoint).
Preferred Candidate Profile
- Qualified Company Secretary (ICSI).
- Experience working as a Company Secretary / Compliance Officer.
- Prior experience with BSE/NSE listed companies will be preferred.
- Strong understanding of corporate governance and statutory compliance requirements.
- Candidates with exposure to preferential issues, listing approvals, SEBI compliances, ROC filings, and corporate actions will be preferred.

Pay: ₹50,000.00 - ₹80,000.00 per month
