Job Description: Group Company Secretary (In-House)Job Overview
We are a diversified business group comprising a flagship corporate entity (with a share capital exceeding INR 10 Crores), multiple Private Limited companies, and LLP firms. We are seeking a highly competent, vigilant, and proactive Group Company Secretary to head our legal and secretarial compliance department.
The successful candidate will ensure that all group entities operate in strict compliance with the Companies Act, 2013, LLP Act, 2008, and all other applicable corporate and statutory laws. This is an in-house, full-time role requiring a sharp mind for corporate governance and secretarial management.
Key Responsibilities & Duties1. Core Secretarial & Governance Compliance
· Act as the officially appointed Whole-Time Company Secretary for the flagship corporate entity.
· Organize, prepare agendas for, and conduct Board Meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs) across all group Private Limited companies.
· Record and maintain accurate Minutes of Meetings, Attendance Registers, and statutory books as required by law.
· Draft, review, and file all necessary statutory forms, returns, and financial statements (e.g., MGT-7, AOC-4) with the Registrar of Companies (ROC) via the MCA (Ministry of Corporate Affairs) portal.
2. Group & Structure Management
· Manage secretarial compliances for all group entities, ensuring timely annual filings for both Private Limited companies and LLP firms (Form 8 and Form 11).
· Handle corporate structural changes across the group, including share capital increases, share allotments, share transfers, changes in directorship, partner changes in LLPs, and modification of constitutional documents (MOA/AOA or LLP Agreements).
· Coordinate and ensure seamless regulatory filings for any inter-corporate loans, investments, or related-party transactions within the group.
3. Statutory & Regulatory Liaising
· Serve as the primary point of contact for the Ministry of Corporate Affairs (MCA), Regional Director (RD), and Registrar of Companies (ROC).
· Prepare and process applications for compounding of offenses, condonation of delays, or any other specific representations before the National Company Law Tribunal (NCLT) or ROC if required.
· Liaise with statutory auditors, internal teams, and external legal counsels to ensure seamless annual audits and secretarial audits.
4. Corporate Advisory & Legal Support
· Provide clear, ongoing guidance to the Board of Directors and senior management on the impact of new amendments in corporate laws.
· Draft and review basic corporate agreements, deeds, and resolutions to protect the group’s legal interests.
· Ensure proper maintenance and tracking of corporate charges, mortgages, and hypothecations linked to bank financing.
Required Qualifications & Skills
· Professional Certification: Must be an Associate/Fellow Member of the Institute of Company Secretaries of India (ICSI) holding a valid membership number.
· Experience: 5 to 8 years of post-qualification experience (ideally managing a corporate group setup or working with a mid-to-large-scale corporate entity).
· Domain Expertise: Deep, practical understanding of the Companies Act, 2013, LLP Act, 2008, Secretarial Standards (SS-1 & SS-2), and MCA21 portal operations.
· Drafting Skills: Exceptional capability in drafting clear, legally sound board resolutions, minutes, and corporate notices.
· Analytical Abilities: High attention to detail with the ability to spot compliance risks before they cause delays or penalties.
· Communication: Excellent verbal and written communication skills to effectively interact with promoters, directors, and government authorities.
