Summary:
The Company Secretary / Compliance Officer for our Non-Banking Financial Company (NBFC) is responsible for monitoring and ensuring organization’s compliance with company law, regulatory guidelines & stability requirement.
Key Responsibilities:
- Monitor regulatory updates from RBI and other statutory authorities, assess their impact on policies and operations, and ensure timely implementation across the organization.
- Prepare and submit periodic returns to regulators, act as the primary point of contact for regulatory queries, and report compliance issues to the Board or Audit Committee.
- Conduct compliance testing, reviews, and internal audits; coordinate and manage RBI inspections and ensure timely closure of inspection findings.
- Conduct Board Meetings and General Meetings, including preparation of agenda, notes to agenda, minutes of meetings, and ensuring compliance with Companies Act, 2013 and Secretarial Standards.
- Provide advisory support on loan proposals, contracts, and legal matters; handle litigation matters and statutory filings with the MCA and RBI.
- Develop and implement compliance policies, manuals, and training programs; oversee conflict of interest, fair customer treatment, and market conduct standards.
Qualifications and Skills:
- Bachelor’s or Master’s degree in Law, Finance, Commerce, or a related field; Company Secretary (CS) essential.
- 5-10 years of experience in compliance, preferably in NBFCs or banking, with strong knowledge of RBI guidelines for NBFC.
- Strong proficiency in regulatory reporting, risk assessment, audit management, secretarial compliance, and stakeholder communication.
Pay: ₹600,000.00 - ₹1,200,000.00 per year
