Job Summary
We are looking for a competent Company Secretary (CS) with strong exposure to insolvency, liquidation, banking recovery, corporate restructuring, financial due diligence and regulatory documentation.
Key Responsibilities
- Examine and prepare EOIs, tender documents, bid documents and participation papers related to bank auctions, liquidation assets, NRRA, PUFE proceedings, avoidance transactions and resolution plans.
- Review process memorandums, tender conditions, eligibility criteria, financial statements, corporate records, litigation documents, forensic reports and NCLT/NCLAT/Supreme Court orders.
- Prepare board resolutions, declarations, undertakings, authority letters, compliance checklists, bid notes, commercial proposals, transaction summaries and management briefs.
- Assist in NRRA acquisition, PUFE claims, preferential/undervalued transactions, fraudulent trading, avoidance applications, liquidation recoveries and assignment opportunities.
- Coordinate with liquidators, Resolution Professionals, banks, financial institutions, legal teams, consultants, forensic auditors and other stakeholders.
- Assist in meetings and representation before CoC, SCC, liquidators and other institutional forums, wherever applicable.
- Conduct document review, due diligence and commercial risk assessment, identifying key issues and preparing actionable summaries.
- Maintain high standards of accuracy, confidentiality and regulatory compliance.
Required Skills & Qualifications
- Qualified CS.
- Strong knowledge of IBC, corporate law, insolvency and liquidation processes.
- Experience in financial documentation, due diligence, tender scrutiny and compliance.
- Strong drafting, analytical and research skills.
- Ability to review large volumes of documents and identify material issues.
- Commercially aware, legally cautious and capable of working under strict timelines.
- High level of professional maturity, ownership and confidentiality.
Preferred Experience
Candidates with prior experience in insolvency assignments, liquidation, bank recovery, corporate restructuring, asset reconstruction, stressed assets, forensic review, secretarial compliance or tender documentation will be preferred.
Pay: ₹40,000.00 - ₹60,000.00 per month
