Job Summary
The Company Secretary is responsible for ensuring the organization complies with statutory and regulatory requirements while supporting the Board of Directors in maintaining high standards of corporate governance. This role manages board meetings, statutory filings, corporate records, legal compliance, and governance processes, while acting as a key advisor to senior management on corporate laws and regulatory matters.
Key Responsibilities
- Ensure compliance with all applicable corporate laws, regulations, and statutory requirements.
- Organize and coordinate Board of Directors, committee, and shareholder meetings.
- Prepare meeting agendas, board papers, notices, minutes, and resolutions.
- Maintain statutory registers, corporate records, and official company documentation.
- File statutory returns, annual reports, and regulatory submissions within prescribed timelines.
- Advise the Board and senior management on corporate governance principles and legal obligations.
- Monitor changes in corporate laws and regulations and recommend necessary policy or process updates.
- Coordinate with regulatory authorities, auditors, legal advisors, and external stakeholders.
- Support corporate restructuring activities, including mergers, acquisitions, and changes in company structure, where applicable.
- Oversee compliance with internal governance policies and ensure adherence across the organization.
- Assist in drafting and reviewing legal agreements, contracts, and corporate documentation.
- Manage share-related activities, including share allotments, transfers, dividends, and maintenance of shareholder records, where applicable.
- Support risk management, compliance audits, and internal control initiatives.
- Ensure timely renewal of statutory licenses, registrations, and corporate approvals.
- Maintain confidentiality of sensitive corporate and board information.
Required Qualifications
- Qualified Company Secretary with membership of the Institute of Company Secretaries of India (ICSI).
- Bachelor's degree in Commerce, Law, Business Administration, or a related discipline.
- 5–10 years of relevant experience in corporate secretarial, governance, or compliance roles.
- Experience working with private, public, or listed companies is preferred.
- Strong knowledge of the Companies Act, SEBI regulations (where applicable), corporate governance standards, and other relevant regulatory frameworks.

Preferred Qualifications
- LLB or postgraduate qualification in Law, Finance, or Business Administration.

- Familiarity with governance, risk, and compliance (GRC) software and corporate compliance management systems.
Pay: ₹45,000.00 - ₹60,000.00 per month
